SEC NEWS DIGEST Issue 2002-188 September 27, 2002 ENFORCEMENT PROCEEDINGS ADMINISTRATIVE PROCEEDINGS INSTITUTED AGAINST AMBASSADOR EYEWEAR GROUP, INC. On September 26, the Commission instituted public administrative proceedings against Ambassador Eyewear Group, Inc. (Ambassador), a Delaware corporation that was located near Philadelphia, Pennsylvania, to determine whether it is appropriate for the protection of investors to suspend or deregister Ambassador's common stock. Ambassador, an eyeglass frame distribution company, filed for bankruptcy in February 2000. The Order Instituting Proceedings alleges that Ambassador's common stock was first registered with the Commission in March 1998 and traded on both the Chicago Stock Exchange and over the counter in the pink sheets beginning in April 1998. Ambassador was delisted from the Chicago Stock Exchange in August 1999, and has traded very sporadically in the pink sheets since that time. The Order further alleges that from the quarter ended December 31, 1998 to the present time Ambassador has failed to file annual and quarterly reports as required by Section 13(a) of the Securities Exchange Act of 1934 and Rules 13a-1 and 13a-13 thereunder. A hearing will be scheduled before an administrative law judge to determine whether the allegations contained in the Order are true, to provide Ambassador an opportunity to dispute these allegations, and to determine what sanctions, if any, are necessary or appropriate for the protection of investors. (Rel. 34-46558; File No. 3-10900) FINAL JUDGMENT ENTERED AS TO MEDICAL DIAGNOSTIC PRODUCTS, INC. On September 17, the Honorable Emmet G. Sullivan of the United States District Court for the District of Columbia entered a Final Judgment As To Medical Diagnostic Products, Inc. (MDP) in SEC v. Trainor, et al. (96CV01533, EGS, D.D.C.). MDP, f/k/a Novatek International, Inc., consented, without admitting or denying the allegations of the Commission's complaints, to entry of a Final Judgment that permanently enjoins the company from violating Sections 10(b), 13(d), and 13(b)(2)(A) and (B) of the Securities Exchange Act of 1934 and Rules l0b- 5, 12b-20, 13a-13 and 13b2-1 promulgated thereunder. Celentano, Civil Action No. 98CV01533, EGS, D.D.C.] (LR-17746; AAER-1633) SEC CHARGES FORMER WORLDCOM CONTROLLER MYERS WITH PARTICIPATING IN MULTI- BILLION DOLLAR FINANCIAL FRAUD On September 26, the Commission filed a civil enforcement action against David F. Myers, formerly the Controller and a Senior Vice President of WorldCom, Inc., and a CPA. The Commission charges that Myers participated in a massive fraud that inflated the company's earnings at the direction and with the knowledge of WorldCom's senior management. Also, in connection the same conduct, Myers pled guilty to criminal charges filed by the U.S. Attorney's Office for the Southern District of New York. The Commission's action against Myers is its second civil enforcement action related to the WorldCom fraud. The first was filed against WorldCom, Inc. on June 27 of this year (LR-17588). Since then, WorldCom has admitted that beginning in 1999, as a result of undisclosed and improper accounting, it materially overstated the income it reported in its financial statements by approximately $7.2 billion. It has also filed for bankruptcy under Chapter 11 of the U.S. Bankruptcy Code. The Commission's complaint against former Controller Myers alleges that in the second half of 2000, by improperly decreasing certain reserves to reduce "line costs" (expenses for accessing the networks of other telecommunications companies), Myers and others caused WorldCom to overstate pre-tax earnings by at least $1.2 billion. Thereafter, from the first quarter 2001 through the first quarter 2002, Myers and others improperly capitalized certain line costs, which resulted in an overstatement of WorldCom's pre-tax earnings by approximately $3.8 billion. During the same period, Myers and others, including members of senior management, made materially false or misleading statements or omissions to WorldCom's independent auditors in connection with audits and the preparation of filings with the Commission. For this misconduct, the complaint charges Myers with violating numerous provisions of the federal securities laws, including the antifraud, books and records, internal controls, and lying-to-auditors provisions, Section 17(a) of the Securities Act of 1933, Sections 10(b) and 13(b)(5) of the Securities Exchange Act of 1934 and Rules l0b-5, 12b-20, 13a-1, 13a-13, 13b2-1 and 13b2-2 thereunder. It further charges him with aiding and abetting WorldCom's violations of the periodic reporting, books and records, and internal controls provisions, Sections 13(a) and 13(b)(2)(A) & (B) of the Exchange Act and Rules 12b-20, 13a-1 and 13a-13 thereunder. The Commission seeks a permanent injunction, disgorgement of all ill-gotten gains, civil money penalties, and an order barring Myers from serving as an officer or director of a public company.
