SEC NEWS DIGEST Issue 2004-93 May 13, 2004 COMMISSION ANNOUNCEMENTS SEC TO EXTEND COMMENT PERIOD ON REGULATION NMS The Commission announced today that it intends to extend the comment period on Regulation NMS from May 24, 2004, to June 30, 2004. In addition, the Commission plans to issue a supplemental request for comment to reflect matters discussed during the hearing on Regulation NMS that was held on April 21, 2004. The extension of the comment period and supplemental request for comment are intended to afford the public a full opportunity to address in their comment letters the matters discussed at the hearing. (Press Rel. 2004-64) SEC NAMES AMY BEST DEPUTY DIRECTOR OF THE OFFICE OF PUBLIC AFFAIRS The U.S. Securities and Exchange Commission announced today that Amy Best has joined the agency as Deputy Director of the Office of Public Affairs. In this position, Best will provide strategic and tactical communications counsel and will serve as a Commission spokesperson. She will report to Matthew Well, the agency's newly appointed Director of the Office of Public Affairs. Most recently, Best was Senior Director at Dittus Communications, where she developed and implemented communications strategies for a wide range of financial services clientele. Prior to joining Dittus, Best served as Deputy to the Assistant Secretary in the Office of Legislative Affairs at the U.S. Department of the Treasury. A Chicago native, Best has a bachelor's degree from Valparaiso University in Indiana. ENFORCEMENT PROCEEDINGS SEC ANNOUNCES DEFAULT FINAL JUDGMENT AGAINST UNREGISTERED INVESTMENT ADVISER The Commission announced that on April 29, 2004, the Honorable Judge Alan Gold entered a default final judgment against an unregistered investment adviser, Luis Giro, who operated his company, Giro Investments Group, Inc., in Miami Springs, Florida. The default final judgment enjoins Giro from violating Section 17(a) of the Securities Act of 1933, 15 U.S.C. 77q, Section 10(b) of the Securities Exchange Act of 1934, 15 U.S.C. 78j(b) and Rule 10b-5, 17 C.F.R. 240.10b-5, promulgated thereunder; and Sections 206(1) and (2) of the Investment Advisers Act of 1940, 15 U.S.C. 80b-6. The default final judgment also ordered Giro to disgorge $2,026,670.63 and assessed a civil money penalty of $120,000. According to the SEC's complaint, from at least March 1997 to October 2001, Giro misappropriated over $2,370,000 from at least twenty advisory clients and investors by committing two frauds. The SEC alleged that Giro told his advisory clients that through Giro Investments, he would manage and invest their funds in the stock market without any risk to their principal. The SEC also alleged that Giro offered and sold a venture capital investment in Giro Investments to at least five investors and that he promised each victim a specific fixed rate of return that varied from victim to victim between 15% and 30%. The SEC's complaint further alleged that contrary to those representations and others, Giro used the investors' and his clients' money to operate a Ponzi scheme, trade in an online brokerage account, finance his family and pay his business and personal expenses. The SEC alleged that Giro continued his fraudulent scheme until October 2001, when Giro vacated his apartment after telling at least two victims that he had lost everything. [SEC v.Luis Giro, Case No. 03-21654 CIV-Gold (SDFL)] (LR- 18709) SEC OBTAINS PERMANENT INJUNCTION AGAINST TOKS, INC. AND ITS CHIEF EXECUTIVE OFFICER ADE OGUNJOBI The Commission announced today that on March 24, 2004, it obtained a permanent injunction by default against Toks, Inc. (Toks), a shell company, and Ade O. Ogunjobi (Ogunjobi), Toks' founder, chairman and chief executive officer. The Commission had sued Toks and Ogunjobi for engaging in a fraudulent and unregistered offering of promissory note securities (Notes) over the Internet, through the website, www.tspnotes.com. The final judgment was issued by the United States District Court for the District of Columbia. The final judgment permanently enjoins Toks and Ogunjobi from violating Section 5 of the Securities Act of 1933 (Securities Act), a registration provision, and Sections 17(a)(1) and 17(a)(3) of the Securities Act, both antifraud provisions. In addition, the final judgment permanently bars Toks and Ogunjobi from violating Section 14(e) of the Securities Exchange Act of 1934 ("Exchange Act") and Exchange Act Rules 14d-2(b) and 14e-8, both tender offer provisions of the federal securities laws. Significantly, the final judgment contains certain conduct-based relief. The final judgment permanently enjoins Toks and Ogunjobi from acting as issuers, underwriters, brokers or dealers in an unregistered offering, and also permanently bars the defendants from accepting any funds from investors in connection with the Notes offering. The final judgment was issued in a civil action filed by the Commission on Aug. 25, 2003. The complaint charged violations of the securities laws and rules thereunder in connection with an Internet website in which Toks solicited investors to purchase Toks Notes that were purportedly to be used to raise between $1 billion and $10 billion to fund tender offers for a dozen or more of the world's largest corporations. The Commission alleged that the offering was deceptive and fraudulent because, among other things, Toks had no assets, sales or revenues and Ogunjobi was its only employee, and thus Toks and Ogunjobi had no ability to conduct the contemplated tender offers.
