SEC NEWS DIGEST Issue 2005-68 April 11, 2005 COMMISSION ANNOUNCEMENTS ANNETTE NAZARETH TO TESTIFY Annette L. Nazareth, Director of the Division of Market Regulation, will testify before the House Subcommittee on Capital Markets, Insurance, and Government Sponsored Enterprises concerning credit rating agencies on Tuesday, April 12. The hearing will begin at 2:00 p.m. in Room 2128 of the Rayburn House Office Building. ENFORCEMENT PROCEEDINGS SEC SETTLES FINANCIAL FRAUD ACTION WITH PRESIDENT, OUTSIDE DIRECTOR AND AUDITORS OF CHANCELLOR CORPORATION The Commission has concluded settlements with four defendants named in its financial fraud litigation relating to Chancellor Corporation. The Commission’s civil enforcement action alleges that from 1998 through 2001, Chancellor officials schemed to inflate Chancellor’s reported assets, revenue and profits using fabricated documents and fraudulent accounting, while its auditors and outside directors failed in their responsibilities to address the fraud. The Commission reached settlements with: Franklyn E. Churchill, Chancellor’s former President and COO; Rudolph Peselman, a former Chancellor director and audit committee member; BKR Metcalf Davis, Chancellor’s former audit firm; and Gregory Davis, Metcalf Davis’ engagement partner for the Chancellor audit Churchill and Peselman, without admitting or denying the allegations of the Commission’s complaint, consented to the entry of permanent injunctions enjoining each from violating the anti-fraud, reporting, record-keeping, and internal controls provisions of the federal securities laws. The two also agreed to an order prohibiting each from ever serving as an officer or director of any public company, Further, Churchill agreed to pay a $55,000 civil penalty. BKR Metcalf Davis and Davis, again without admitting or denying the allegations of the Commission’s complaint, consented to the entry of judgments requiring Davis to pay a $25,000 civil penalty and BKR Metcalf Davis to pay a $50,000 civil penalty. The SEC agreed to dismiss its fraud claims against Davis and BKR Metcalf Davis in lieu of a settled administrative enforcement proceeding in which the Commission ordered that Davis and BKR Metcalf Davis cease and desist from violating the reporting and audit provisions of the Securities Exchange Act, including Section 10A, which requires auditors to report suspected fraud by management. The Commission denied Davis the privilege of appearing or practicing before the Commission as an accountant, with a right to apply for reinstatement after five years. The Commission also censured BKR Metcalf Davis and the firm agreed that it would not perform any audit services for any public company for one year and if it returns to the practice that it will take remedial steps. Mass, CA No. 03-10762 (MEL)] (LR-19177; AAE Rel. 2230); Administrative Proceeding – Rel. 34-51516; AAE Rel. 2229; File No. 3-11890) SEC FILES EMERGENCY CIVIL ACTION AGAINST SECURITIES BROKER TO HALT INVESTMENT SCHEME AND FREEZE ASSETS FOR INVESTORS On April 7, the Commission filed an emergency action in U.S. District Court for the Northern District of Texas against Philip D. Phillips – d/b/a American Heartland Sagebrush Securities Investments, Inc. and Sagebrush Securities, American Heartland, Inc. (Sagebrush) – charging that Phillips, a securities broker, bilked investors out of approximately $2.5 million on the false promise that he would invest their funds in safe income-generating securities. The Court granted a temporary restraining order, asset freeze and other emergency relief against Phillips and Sagebrush. In its complaint, the Commission alleges that Phillips lured investors with a number of misrepresentations: 1) Phillips portrays Sagebrush to investors, falsely, as a brokerage firm; 2) Phillips falsely promises investors in “consultations” with them that he will purchase specific securities in their names; 3) Phillips assures the investors, falsely, that their funds will remain safe, and, claims, falsely, that their “Sagebrush accounts” are SIPC insured; and 4) on a monthly or quarterly basis, as “evidence” of the purported success and safety of the investments, Phillips prepares and delivers to investors bogus “account statements” purportedly reflecting the composition and value of their investments. The Commission further alleges that Phillips fraudulently failed to disclose to investors that he misappropriated a large portion of the their funds, and that he did not, in fact, purchase or hold in the investors’ names the securities reflected on the investors’ “account statements.” The Commission also named Kirby J. Curry as a relief defendant in its complaint, based on his alleged improper receipt of investor funds. The Commission seeks to freeze any investor funds under Curry’s control. The Commission alleges in its complaint that defendant Phillips, d/b/a Sagebrush, violated Section 17(a) of the Securities Act of 1933, and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder. In addition to the emergency relief that has been granted by the Court, the Commission seeks against Phillips a permanent injunction, disgorgement plus prejudgment interest, and civil money penalties.
