Date: 1/5/98 1:14 PM Subject: Rule S7-25-97 Attention: Arthur Levitt, Securities and Exchange Commission, 450 5th Street, NW, Washington, DC 20549 I strongly oppose the restrictions proposed in Rule S7-25-97. As it is, it is almost impossible for stockholders, as owners of the corporation, to voice their concerns or ideas to improve corporate management. Rule S7-25-97 restricts these opportunities even further. The result will be reduced stockholder confidence. The appearance is created that stockholder investments are managed for the benefit of management and not the stockholders. Please consider abandoning this ill considered rule. Cordially, Ernest Goitein, 167 Almendral Avenue, Atherton, CA 94027
