SEC NEWS DIGEST Issue 2005-168 August 31, 2005 COMMISSION ANNOUNCEMENTS JAMES CLARKSON NAMED ACTING DISTRICT ADMINISTRATOR OF THE SEC’S FORT WORTH DISTRICT OFFICE Securities and Exchange Commission Chairman Christopher Cox today announced the appointment of James A. Clarkson as Acting District Administrator of the SEC’s Fort Worth District Office. The office conducts examinations and enforcement activities in a four state area of the Southwest (Texas, Oklahoma, Arkansas and Kansas). Clarkson currently serves as the Director of Regional Office Operations in the Division of Enforcement. He will continue in that position and will split his time between Washington and Fort Worth until a permanent District Administrator is appointed. Clarkson has previously served as an acting head of other Commission field offices during his tenure as Director of Regional Office Operations, including the SEC’s offices in New York and Philadelphia. Prior to his appointment to his present position, he was a counsel to two Commissioners and worked in different positions in the SEC’s Divisions of Corporation Finance and Enforcement. Linda Thomsen, the SEC’s Director of Enforcement said, “I am very pleased that Jim has agreed to serve as the Acting District Administrator in our Fort Worth Office. He brings a wealth of leadership experience to this assignment which will be important during this time of transition for the Fort Worth Office.” Lori Richards, the Director of the SEC’s Office of Compliance Inspections and Examinations stated, “Together with the examination staff in the Fort Worth Office, I know that Jim will maintain the SEC’s effective examination oversight of firms in the Southwest.” Clarkson added, “I look forward to the opportunity to work with the outstanding staff in the Fort Worth Office and to help them continue to build upon the office’s tradition of excellence.” Clarkson has been with the Commission for over 30 years and has received the SEC’s Distinguished Service Award, a Meritorious Executive Rank Award and, along with other members of the Enforcement Division, the Chairman’s Award for Excellence. He earned his undergraduate degree from Princeton University, an MBA from Columbia University and his law degree from the New York University School of Law. (Press Rel. 2005-123 U.S. SECURITIES AND EXCHANGE COMMISSION SUSPENDS TRADING IN BANCORP INTERNATIONAL GROUP, INC. On August 31, the Commission announced the temporary suspension, pursuant to Section 12(k) of the Securities Exchange Act of 1934, of trading of the securities of Bancorp International Group, Inc. (“BCIT”), a Nevada corporation, at 9:30 a.m. on Aug. 31, 2005, and terminating at 11:59 p.m. on Sept. 14, 2005. The Commission temporarily suspended trading in the securities of BCIT because it appears that all of the securities currently trading in the name of BCIT and purportedly signed by Thomas Megas as President and M. Puig as Secretary are counterfeit. BCIT is quoted on the Pink Sheets LLC. The Commission cautions brokers, dealers, shareholders, and prospective purchasers that they should carefully consider the foregoing information along with all other currently available information and any information subsequently issued by the company. Further, brokers and dealers should be alert to the fact that, pursuant to Rule 15c2-11 under the Exchange Act, at the termination of the trading suspension, no quotation may be entered unless and until they have strictly complied with all of the provisions of the rule. If any broker or dealer has any questions as to whether or not he has complied with the rule, he should not enter any quotation but immediately contact the staff in the Division of Market Regulation, Office of Interpretation and Guidance, at (202) 551-5760. RULES AND RELATED MATTERS EXTENSION OF COMPLIANCE DATE FOR FAIR ACCESS RULE OF REGULATION ATS On August 29, the Commission extended the compliance date for amended rule 301(b)(5) of Regulation ATS, the Fair Access Rule, which was amended in connection with the adoption of Regulation NMS. Rule 301(b)(5) provides, among other things, that, if an alternative trading system accounts for a certain percentage of the average daily volume in a security over four of the preceding six months, it must establish written standards for granting access to trading on its system, and must not unreasonably prohibit or limit any person in respect to access to services offered by such system by applying these written standards in an unfair or discriminatory manner. In connection with the adoption of Regulation NMS, the Commission amended the Fair Access Rule to lower the fair access threshold from 20% of the average daily volume in a security to 5%. The Regulation NMS Adopting Reliase established a compliance date of Aug. 29, 2005, for Rule 301(b)(5). By it action on August 29, the Commission extended the compliance date for Rule 301(b)(5) until Sept. 28, 2005. Publication is expected in the Federal Register during the week of Sept. 5, 2005. (Rel. 34-52355) ENFORCEMENT PROCEEDINGS IN THE MATTER OF WILLIAM D. WISEMAN, CPA On August 31, the Commission issued an Order Instituting Public Administrative Proceedings Pursuant to Rule 102(e) of the Commission’s Rules of Practice, Making Findings and Imposing Remedial Sanctions against William D. Wiseman (In the Matter of William D. Wiseman, CPA, File No. 3-12024, Aug. 31, 2005). The Order finds that Wiseman was the chief financial officer of Chesapeake Display & Packaging (CD&P), a subsidiary of Chesapeake Corporation (Chesapeake), from 1998 through November 2000, and is licensed as a certified public accountant in Georgia and Florida, although his licenses have been inactive since 1989 and 1990, respectively. The Order further finds that on August 22 the United States District Court for the District of Columbia entered a final judgment against Wiseman in the civil action captioned SEC v. Chesapeake, et al., Civ. Action No. 1:05CV00872, D.D.C. (LR-19215), arising from Wiseman’s conduct while at CD&P in 2000. The Order finds that the Commission’s complaint in the civil action alleged, among other things, that Wiseman engaged in fraudulent acts which resulted in Chesapeake filing materially false and misleading financial statements on its Form 10-Q for the first two quarters of 2000, and that Wiseman authorized false journal entries in CD&P’s books and records for the third quarter of 2000, which were ultimately discovered and corrected before Chesapeake issued its third quarter financial statements. The Order further finds that the Court’s final judgment permanently enjoins Wiseman from future violations of Sections 10(b) and 13(b)(5) of the Securities Exchange Act of 1934 and Rules 10b- 5 and 13b2-1 thereunder, and aiding and abetting violations of Sections 13(a), 13(b)(2)(A) and 13(b)(2)(B) of the Exchange Act and Rules 12b-20 and 13a-13 thereunder. The Order suspends Wiseman from appearing or practicing before the Commission as an accountant. Wiseman, who admits to the Commission’s finding that a final judgment was entered against him, but neither admits nor denies the other findings in the Order relating to the underlying allegations in the civil injunctive action, consented to the issuance of the Order against him. (Rels. 34-52365; AAER- 2304; File No. 3-12024) IN THE MATTER OF WON SOK LEE AND YUNG BAE KIM The United States Securities and Exchange Commission (Commission) announced the issuance of an Order Instituting Public Administrative Proceedings Pursuant to Section 15(b) of the Securities Exchange Act of 1934 and Section 203(f) of the Investment Advisers Act of 1940 and Notice of Hearing (Order) against Won Sok Lee (Lee) and Yung Bae Kim (Kim). In the Order, the Division of Enforcement alleges that on August 15, 2005, the United States District Court for the Southern District of Florida entered an Order of Default Judgment of Permanent Injunction and Other Relief against Lee and Kim, permanently enjoining them from future violations of Section 17(a) of the Securities Act of 1933, Section 10(b) of the Exchange Act and Rule 10b-5 thereunder, and Sections 206(1) and 206(2) of the Advisers Act, in the civil action entitled Securities and Exchange Commission v. K.L. Group, LLC, et al., Case No, 05-80186-CIV- Ryskamp/Vitunac. The Commission’s complaint in the civil action alleges Lee and Kim owned or controlled three unregistered investment advisers that advised, controlled, and managed six hedge funds. The complaint also alleges Lee, Kim, and another defendant defrauded investors through misrepresentations and omissions concerning the profitability and security of their investments in the hedge funds. A hearing will be scheduled before an administrative law judge to determine whether the allegations contained in the Order are true, to provide Lee and Kim an opportunity to dispute these allegations. The Order requires the Administrative Law Judge to issue an initial decision no later than 210 days from the date of service of this Order, pursuant to Rule 360(a)(2) of the Commission's Rules of Practice. BEHRMANN, CPA The United States Securities and Exchange Commission announced the issuance of an Order Instituting Administrative Proceedings Pursuant to Rule 102(e) of the Commission’s Rules of Practice, Making Findings, and Imposing Remedial Sanctions against John R. Behrmann, CPA. Behrmann, age 69, is a certified public accountant licensed to practice in the State of Pennsylvania. Behrmann was Chairman of First American Health Concepts, Inc. (First American) from 1996 to 2001. The Order finds that, on August 17, 2005, a final judgment was entered against Behrmann in a civil action entitled Securities and Exchange Commission v. John R. Behrmann, et al., Civil Action Number 1:05CV01640 (JDB) filed in the United States District Court for the District of Columbia permanently enjoining him from violating Sections 10(b) and 13(b)(5) of the Securities Exchange Act of 1934 (Exchange Act) and Rules 10b-5 and 13b2- 1 thereunder, and from aiding and abetting violations of Sections 13(a), 13(b)(2)(A) and 13(b)(2)(B) of the Exchange Act and Rules 12b-20, 13a-1 and 13a-13 thereunder. That final judgment also permanently barred Behrmann from serving as an officer or director of any public company and ordered him to pay a $75,000 civil penalty. The Commission’s complaint in that civil action alleged, among other things, that Behrmann signed First American’s fiscal 1999 Form 10-KSB filed with the Commission knowing that First American’s accounts receivable ledgers and its general ledger had not been reconciled and without regard for whether this significant accounting issue would have a material impact on the Company’s financial statements. First American’s 1999 annual report overstated its accounts receivable by 59 percent which resulted in reported pre-tax income of $693,000 when, in fact, it had incurred a loss of $199,000. The complaint alleged further that in March 2000, Behrmann ignored the recommendation of First American’s independent auditors that First American obtain a five-day extension for the filing of its second quarter Form 10-QSB because the audit work related to forthcoming restatements of the 1999 Form 10-KSB and the first quarter 2000 Form 10-QSB would affect the Company’s second quarter financial statements. The second quarter 2000 Form 10-QSB as filed overstated income by 46 percent. Behrmann consented to entry of the final judgment without admitting or denying any of the allegations in the complaint. Based on the civil injunction entered against Behrmann, the Administrative Order suspends Behrmann from appearing or practicing before the Commission as an accountant. Behrmann consented to the issuance of the Order without admitting or denying any of the findings in the Order. (Rels. 34-52369; AAER-2305; File No. 3-12026) CEASE-AND-DESIST PROCEEDINGS INSTITUTED AND SETTLED AGAINST PREMIER FINANCIAL BANCORP, INC. The Commission announced the issuance of an Order Instituting Cease-and- Desist Proceedings, Making Findings, and Imposing a Cease-and Desist Order Pursuant to Section 21C of the Securities Exchange Act of 1934 (Order) against Premier Financial Bancorp, Inc. (Premier), headquartered in Huntington, West Virginia. The Order finds that Premier violated the reporting, books and records, and internal controls provisions of the Exchange Act. Premier consented to the entry of the Order without admitting or denying the Commission’s findings. Premier, whose common stock trades on the NASDAQ National Market System, is a multi-bank holding company that operates community bank subsidiaries throughout West Virginia, Ohio and Kentucky. The Order finds that Premier filed materially inaccurate financial information in its Quarterly Reports on Form 10-Q for each of the quarters of 2001, 2002, and 2003, and Annual Reports on Form 10-K for the years ended 2001 and 2002. Specifically, Premier’s net income for the fiscal year ended December 31, 2001 was overstated by 94 percent, and its net loss for 2002 was understated by 63 percent. Premier’s inaccurate filings resulted from the fraudulent conduct of William J. Covington, the former President and CEO of Farmers Deposit Bank (Farmers), a wholly-owned subsidiary of Premier. The Order finds that from at least 2001 until 2003, Covington engaged in a variety of deceptive acts and practices designed to conceal mounting loan losses from Premier and its officers, directors, auditors and banking regulators. Covington’s fraudulent acts caused Farmers’ financial and accounting records to be inaccurate by reflecting inadequate reserves for loan losses and recording interest income on delinquent and uncollectible loans. As a direct result, Premier’s filings during 2001 through 2003 contained materially inaccurate financial information. The Order further finds that Premier’s hands-off approach to managing its subsidiary banks, along with its delay in preparing standardized loan policies and procedures, contributed to the record-keeping and reporting errors. Premier has been ordered to cease and desist from committing or causing any violations and any future violations of Sections 13(a), 13(b)(2)(A) and 13(b)(2)(B) of the Exchange Act and Rules 12b-20, 13a-1 and 13a-13 thereunder.
