SEC NEWS DIGEST Issue 2006-103 May 30, 2006 ENFORCEMENT PROCEEDINGS IN THE MATTER OF GEEK SECURITIES, INC. AND GEEK ADVISORS, INC. On May 30, the Commission issued an Order Instituting Administrative Proceedings Pursuant to Section 15(b) of the Securities and Exchange Act of 1934 and Section 203(e) of the Investment Advisers Act of 1940, Making Findings and Imposing Remedial Sanctions (Order) against Geek Securities, Inc. (Geek Securities) and Geek Advisors, Inc. (Geek Advisors). The Order finds the Commission sued Geek Securities, a broker-dealer registered with the Commission, and Geek Advisors, an investment adviser registered with the Commission, in the civil action entitled SEC v. Geek Securities, Inc. et al., Civil Action No. 04- 80525-Civ-PAINE/JOHNSON, in the United States District Court for the Southern District of Florida, alleging both entities engaged in pervasive market timing and late trading on behalf of institutional clients. The Commission also alleged that despite warnings from mutual fund companies Geek Securities and Geek Advisors used various deceptive activities to evade detection of ongoing market timing and accepted final trade instructions after the 4:00 p.m., E.T., closing of the market, knowing that the trades received the same-day NAV pricing. On Feb. 9, 2006, a final judgment in the civil case was entered by consent against Geek Securities and Geek Advisors, permanently enjoining them from future violations of Section 17(a) of the Securities Act of 1933, Section 10(b) of the Exchange Act and Rule 10b-5 thereunder, and from aiding and abetting violations of Section 15(c)(1) of the Exchange Act. Based on the above, the Order revokes the respective registrations of Geek Securities and Geek Advisors with the Commission. Geek Securities and Geek Advisors consented to the issuance of the Order without admitting or denying any of the findings in the Order. (Rel. 34-53881; File 3-12303) IN THE MATTER OF TRIBUNE COMPANY On May 30, the Commission issued an Order Instituting Cease-and-Desist Proceedings, Making Findings and Imposing a Cease-and-Desist Order Pursuant to Section 21C of the Securities Exchange Act of 1934 against Tribune Company. According to the Order, between January 2002 and March 2004, two of Tribune's newspapers, Newsday and Hoy, reported fictitious newspaper sales in order to inflate their circulation figures. The Order finds that Tribune misstated its accounts receivable and accounts payable, as well as its circulation revenues and expenses, as they related to Newsday and Hoy. Newsday and Hoy generated the phony sales by, among other things, entering into sham agreements with dealers and distributors and by shifting the accounting for unsold newspapers to days that did not affect the calculation for the newspapers' circulation. Tribune, which did not have sufficient internal controls to detect these schemes at Newsday and Hoy, disseminated the inflated figures, as well as circulation trends and financial information based on the fictitious sales, in reports that it filed with the Commission. Relying on the inflated circulation figures, Tribune also represented in press releases and earnings conferences that Newsday was successfully competing against other daily newspapers in its market and that Hoy was the largest Spanish-language newspaper in New York. The Commission's Order directs Tribune to cease and desist from committing or causing any violations or any future violations of Sections 13(a), 13(b)(2)(A) and 13(b)(2)(B) of the Securities Exchange Act of 1934 and Rules 12b-20, 13a-1 and 13a-13, thereunder. Tribune consented to the issuance of the Order without admitting or denying any of the Commission's findings. In determining to accept its offer of settlement, the Commission considered remedial acts promptly undertaken by Tribune and the cooperation that Tribune afforded the Commission's staff.
