SEC NEWS DIGEST Issue 2006-49 March 14, 2006 COMMISSION ANNOUNCEMENTS SEC, UK FSA SIGN LANDMARK REGULATORY COOPERATION ARRANGEMENT The Securities and Exchange Commission and the United Kingdom Financial Services Authority signed a comprehensive arrangement today to increase cooperation in market oversight and supervision. SEC Chairman Christopher Cox and UK FSA Chief Executive Officer John Tiner executed the Memorandum of Understanding Concerning Consultation, Cooperation and the Exchange of Information Related to the Supervision of Financial Services Firms and Market Oversight at a meeting at SEC headquarters in Washington. This landmark arrangement will facilitate the exchange of confidential supervisory information currently collected by both regulators. Chairman Cox said, "This agreement formalizes the already robust collaboration between the SEC and the FSA. Both the SEC and the FSA share a commitment to keeping our markets open, fair, transparent, and sound under constantly changing circumstances. The additional tools for information exchange that we will gain from this arrangement will enhance our mutual ability to oversee the world's largest securities firms and markets. This arrangement also facilitates the SEC's new role as a consolidated supervisor of globally active US investment banks. The information sharing arrangements we are formalizing today will help insure that the SEC's supervision of these firms is as effective as possible." Ethiopis Tafara, Director of the SEC's Office of International Affairs, said, "The document signed today represents a new generation of cooperation between securities regulators. The Commission has long been a leader in cooperative securities enforcement. Formalized information-sharing helps the Commission establish clear institutional lines of communication and a means of promoting efficiency and predictability in our international cooperative efforts. In view of the growing globalization of the world's financial markets and the proliferation of globally active financial services firms, including large complex financial conglomerates, establishing and maintaining strong relationships and cooperative efforts with our counterparts in the area of supervision and oversight, in addition to enforcement, is becoming equally important. Among other things, the arrangement provides for exchange of information about regulated entities and investment banking groups that operate both in the United States and the United Kingdom. (Press Rel. 2006-36) JIM MCCONNELL, SEC EXECUTIVE DIRECTOR, RETIRES The Securities and Exchange Commission announced today that Jim McConnell, the agency's Executive Director for the past 16 years, intends to retire at the beginning of June. For the next two months, McConnell will assist with transition efforts and intends to pursue private sector options starting in the fall. "As the agency's Executive Director for 16 years, Jim McConnell has become an institution at the SEC," said Chairman Christopher Cox. "He has overseen the remarkable growth in the Commission's budget and responsibilities that followed in the wake of Enron and other corporate scandals. His skilled management of staffing, facilities, and administrative matters has led directly to major benefits for the nation's investors. During his tenure, the SEC's budget has grown from $94 million to over $900 million -- an order of magnitude -- and the complexity of its operations has increased commensurately. During this time, Jim has ushered the SEC into the modern era, and even now he is on the cutting edge of financial improvements with his efforts to obtain special pay authority, independent leasing, and a fee-based funding mechanism for the agency. His efforts have contributed greatly to the agency's recognition as one of the top five best places to work in government. He is the only Executive Director nearly all of us have ever known, and to a person he has earned our admiration and respect. He will be sorely missed." McConnell said, "I have had one of the best management jobs in government having worked for five Chairmen and three acting Chairs, each of whom have been extraordinary individuals and dedicated to the nation's investors. It has also been my good fortune to have administrative, management, and budget staff that have been committed to supporting the agency's programs. McConnell, 58, joined the Commission in 1984 as a management analyst, was soon thereafter selected as the agency's Chief Management Analyst, and appointed by Chairman Richard Breeden as Executive Director in 1990. During his tenure, he has been responsible for financial management, human resources, filings and information services, strategic planning, audited financial statements, internal control, and information technology. Prior to his service at the SEC, he worked at the Labor Department's Employment and Training Administration on programs to support disadvantaged youth, migrant and seasonal farmworkers, Native Americans, and the Job Corps. Mr. McConnell received his Bachelor's Degree in Business Administration from Virginia Tech in 1970. (Press Rel. 2006-37) ENFORCEMENT PROCEEDINGS SINO PHARMACEUTICALS CORP. STOCK REGISTRATION REVOKED The registration of the stock of Sino Pharmaceuticals Corp. has been revoked. The company repeatedly failed to timely file required periodic reports with the Securities and Exchange Commission. Thus, it violated a crucial provision of the federal securities laws that requires public corporations to publicly disclose current, accurate financial information so that investors may make informed decisions. The revocation was ordered in an administrative proceeding before an administrative law judge. (Rel. 34-53475; File No. 3-11979) SEC FILES ENFORCEMENT ACTION AGAINST HEDGE FUND MANAGER JEFFREY THORP AND THREE HEDGE FUNDS FOR ENGAGING IN ILLEGAL "PIPE" TRADING SCHEME Defendants Consent to Permanent Injunctions and Agree to Pay $15.8 Million to Settle Charges The Securities and Exchange Commission filed securities fraud and related charges today against three New York-based hedge funds, Langley Partners, North Olmsted Partners and Quantico Partners (collectively, "Langley Partners"), and their portfolio manager, Jeffrey Thorp, in the U.S. District Court for the District of Columbia. Langley Partners and Thorp agreed to settle the Commission's charges that they perpetrated an illegal trading scheme to evade the registration requirements of the federal securities laws in connection with twenty-three unregistered securities offerings, that are commonly referred to as "PIPEs" (Private Investment in Public Equity), and engaged in insider trading. As part of the settlement, Langley Partners will disgorge $8.8 million in ill-gotten gains and prejudgment interest, and Langley Partners and Thorp will pay civil penalties totaling $7 million. The Commission alleges in its complaint that Langley Partners and Thorp, after agreeing to invest in a PIPE transaction, typically sold short the issuer's stock, frequently through "naked" short sales in Canada. Among other things, the Commission's complaint alleges that: * Once the Commission declared the resale registration statement effective, Thorp used the PIPE shares to close out the short positions ? a practice Thorp knew was prohibited by the registration provisions of the federal securities laws. To avoid detection and regulatory scrutiny, Thorp employed a variety of deceptive trading techniques, including wash sales and matched orders, to make it appear that he was covering his short sales with legal, open market stock purchases. In fact, the covering transactions were not open market transactions because Thorp was on both sides of the trades. * In each of the transactions, Thorp made materially false representations to the PIPE Issuers to induce them to sell securities to Langley Partners. As a precondition of participation in a PIPE, Langley Partners had to represent that it would not sell, transfer or dispose of the PIPE shares other than in compliance of the registration provisions of the Securities Act of 1933. This representation was material to the PIPE Issuers, who, as the stock purchase agreements made clear, relied on the investors' representations in connection with qualifying for an exemption from the registration requirements for their private offering. At the time Thorp signed the securities purchase agreements, however, he intended, if he had not already done so, to distribute the restricted PIPE securities in violation of the registration provisions of the Securities Act. * On seven occasions, Thorp also engaged in insider trading by selling the securities of PIPE Issuers on the basis of material nonpublic information prior to the public announcement of the PIPEs. Thorp engaged in this conduct notwithstanding his express agreement to keep information about the PIPE confidential and/or to refrain from trading prior to the public announcement of the PIPE. To settle the Commission's charges, without admitting or denying the allegations in the complaint, Langley Partners and Thorp consented to the entry of a final judgment permanently enjoining them from future violations of Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder and Sections 5 and 17(a) of the Securities Act of 1933. In addition, the final judgment orders Langley Partners, North Olmsted Partners and Quantico Partners to pay, jointly and severally, disgorgement of $7,048,528, prejudgment interest of $1,769,400, and a civil penalty totaling $4,700,000. The final judgment also requires Thorp to pay a $2,300,000 civil penalty. The Commission acknowledges the assistance of the Investment Dealers Association of Canada. Langley Partners, L.P., North Olmsted Partners, L.P., Quantico Partners, L.P., and Jeffrey Thorp, Civil Action No. 1:06CV00467 (JDB) (D.D.C.)] (LR-19607) COMMISSION FILES SUBPOENA ENFORCEMENT ACTION AGAINST GARY LYNN MCDUFF On March 10, the Commission filed an application with the U.S. District Court for the Northern District of Texas, Fort Worth Division, for an order to enforce investigative subpoenas served on Gary Lynn McDuff, age 51, a resident of Deer Park, Texas. The Commission's application and supporting papers allege that on June 1, 2005, the Commission issued a Formal Order of Private Investigation entitled In the Matter of Megafund Corp. On Jan. 25, 2006, the Commission issued investigative subpoenas to McDuff in the course of that investigation into possible violations of the federal securities laws. McDuff may have participated in multiple fraudulent unregistered securities offerings, including the multi-million dollar ponzi scheme at issue in SEC v. Megafund Corp., et al., Civil Action No. 3-05-CV- 1328-L (N.D. Tex. filed July 1, 2005). The subpoenas required McDuff to produce documents relevant to the investigation and to appear before the Commission for testimony. The Commission alleges that, as of the date of its application, McDuff failed to produce any of the subpoenaed documents and failed to appear for testimony, has no valid justification for his failure to comply, and a court order is necessary to compel McDuff to provide the subpoenaed documents and to appear for testimony.
