Explanation of Responses:
1. Vests as to 25% of the shares on each of January 13, 2005, 2006, 2007 and 2008. Vests in full upon the reporting person's death, retirement or disability.
2. The closing price of the company's common shares on the New York Stock Exchange on the vesting date, or if there are no sales of common shares on such exchange on such date, then the closing price of the common shares on last previous day on which a sale of such exchange is reported. RSUs convert into common shares on a one-for-one basis.
3. Includes 4,608 shares acquired under the Company's employee stock purchase plan between 10/18/02 and 11/21/03 at prices ranging between $8.99 and $16.80.
4. Between January 1, 2003 and December 31, 2003, the reporting person acquired 2043 shares of MWI common stock under the company's 401(k) plan. The information in this report is based on a plan statement dated as of 12/31/03.
