Explanation of Responses:

1. On June 20, 2007, GLG Partners LP, an English limited partnership and the GLG Global Utilities Fund filed an initial statement of beneficial ownership on Form 3 with respect to shares of common stock of the issuer (the "Original Form 3"). This amendment to the Original Form 3 adds GLG Partners Limited, an English company, Noam Gottesman, Pierre Lagrange and Emmanuel Roman as additional reporting owners. This transaction is being re-reported solely to gain access to the EDGAR system.
