Explanation of Responses:

1. On June 20, 2008 a Grantor Retained Annuity Trust of which the Reporting Person was the sole trustee distributed (i) 16,426 shares of common stock of Leucadia National Corporation to the Reporting Person in a transaction exempt pursuant to Rule 16a-13 of the Securities Exchange Act of 1934 and (ii) 192,893 shares of common stock of Leucadia National Corporation to each of two trusts for the benefit of the Reporting Person's children of which his wife is the sole trustee.

2. Consists of common shares beneficially owned by the Reporting Person's wife (directly and through trusts for his children of which his wife is trustee).
