SEC NEWS DIGEST Issue 2005-201 October 19, 2005 ENFORCEMENT PROCEEDINGS SEC ORDERS THAT FRANK FURINO BE BARRED FROM ASSOCIATION WITH ANY BROKER OR DEALER On October 19, the Securities and Exchange Commission ordered Frank J. Furino to be barred from associating with any broker or dealer. Furino, age 49, was, between Oct. 1, 2000, and Feb. 10, 2005, employed as a floor clerk at the New York Stock Exchange by Jefferies Execution Services, Inc. and its predecessor in interest, Lawrence Helfant LLC, each a broker-dealer registered with the Commission pursuant to Section 15(b) of the Exchange Act. On Sept. 12, 2005, Furino pleaded guilty to conspiracy to commit securities fraud in violation of 18 U.S.C. § 371, a felony. The count of the criminal indictment to which Furino pleaded guilty alleged, inter alia, that, between August 2000 and December 2001, while employed by Helfant as a clerk on the floor of the New York Stock Exchange, Furino conspired to carry out a fraudulent scheme whereby Furino furnished to another person material, non-public information concerning large orders to purchase and sell securities, which had been placed by Helfant’s customers. The indictment further alleged, inter alia, that Furino furnished such information so that the other person could execute trades in the same securities, in anticipation of the movement in price that the larger trades were likely to cause, and that Furino profited from the fraudulent scheme by accepting bribes from the other person. See United States v. Furino, Cr. No. 05-0176 (SJ), United States District Court for the Eastern District of New York. Based upon Furino’s criminal conviction, the Commission instituted, and simultaneously settled, an administrative proceeding pursuant to Section 15(b)(6) of the Securities Exchange Act of 1934. Furino consented, without admitting or denying the Commission’s findings, except as to his criminal plea, to an order barring him from association with any broker or dealer. (Rel. 34-52636; File No. 3-12089) SEC OBTAINS PERMANENT INJUNCTION AGAINST GLEN HILKER AND RELIEF AGAINST TRICORD LLC The U.S. Securities and Exchange Commission announced that on October 13, a federal court in Denver entered an agreed order permanently enjoining Glen W. Hilker (Hilker), of Englewood, Colorado, from violations of Section 17(a) of the Securities Act of 1933, and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder. The Court also ordered Hilker to pay disgorgement of ill-gotten gains of $727,950, prejudgment interest thereon of $94,241.38, and a civil penalty in an amount to be determined by the Court upon motion by the Commission. Also on October 13, the Court entered an agreed order requiring Tricord LLC to pay disgorgement of ill-gotten gains of $500,000, plus prejudgment interest thereon of $64,730.67. The Commission’s complaint alleged that from September through March 2003, Hilker and Larry M. Baker fraudulently sold securities in a real estate project in Dacono, Colorado, making false and misleading statements to investors and diverting approximately $3 million of investor funds to uses unrelated to the project. The Complaint also alleged that Hilker diverted investor funds to Tricord LLC, a Colorado limited liability company controlled by him. [SEC v. Glen W. Colo., filed July 24, 2003] (LR-19433) SEC CHARGES TWO FLORIDA EXECUTIVES WITH OFFERING FRAUD On October 17, the Securities and Exchange Commission filed a civil complaint in the United States District Court for the Middle District of Florida, Tampa Division, against James Lamar McMichael and his wife, Nancy McMichael, arising out of their roles in connection with the unregistered and fraudulent securities offerings by PhyMed Partners, Inc. and Healthcare Preferred Capital, Inc. According to the Commission's complaint, the McMichaels orchestrated, directed, and controlled the fraudulent and unregistered offer and sale of approximately $33 million of securities issued by PhyMed and Healthcare Preferred from October 1998 until at least May 2003. The complaint alleges that PhyMed and Healthcare Preferred, at the direction of the McMichaels, offered and sold the securities to more than 500 investors in at least 23 states. The complaint alleges that PhyMed developed and operated pain management clinics and Healthcare Preferred claimed to be a financial services consultant. The Commission's complaint alleges that in connection with the PhyMed securities offerings, the McMichaels made misrepresentations and omissions of material fact to investors concerning, among other things, the likely investment returns, the use of investor funds, and risks of the investment. The complaint also alleges that in connection with the related Healthcare Preferred securities offerings, the McMichaels made misrepresentations and omissions of material fact to investors concerning, among other things, Healthcare Preferred's misuse of investor funds by transferring the funds to PhyMed and the McMichaels. According to the complaint, both PhyMed and Healthcare Preferred are now defunct and investors collectively have lost over $20 million. The Commission’s complaint seeks permanent injunctions, an order of disgorgement of ill-gotten gains, and an order of civil money penalties against the McMichaels for violating the antifraud and registration provisions of Sections 5(a), 5(c) and 17(a) of the Securities Act of 1933 and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder. McMichael, U.S. D.C., M.D. Fla., Tampa Division, Civil Action No. 8:05-cv-01937-RAL- TGW] (LR-19434) ARCHITECT OF $20 MILLION INVESTMENT FRAUD INDICTED The Securities and Exchange Commission announced today that on Oct. 5, 2005, the United States Attorney’s Office in Los Angeles, California obtained an indictment against Melkon Gharakhanian, aka Michael Garian, age 43, of Van Nuys, Calif., charging him with eight counts of mail fraud. The indictment alleges that from late 1999 through 2001, Garian and Glendale-based National Investment Enterprises (NIE) raised over $20 million from investors. Garian allegedly falsely told investors that he would use their money to purchase various securities for their accounts; had an "inside line" to upcoming "hot" IPOs, particularly for Internet and other technology-related companies; and could deliver large profits quickly. Garian and NIE furthered their scheme by sending investors false monthly account statements that represented that NIE was purchasing large volumes of IPO shares and other securities on their behalf and making large profits from Garian's trading activities. In actuality, the indictment alleges, NIE did not own the type and quantity of securities that were identified on the investors’ account statements. Rather, Garian fraudulently misappropriated investor funds for his own personal use and to pay the operating expenses of NIE. The indictment further alleges that when NIE collapsed in 2001, investors lost approximately $5 million. On Feb. 7, 2003, the SEC filed a complaint against Garian and NIE based upon the same fraudulent scheme that is the subject of the current indictment. Garian and NIE had targeted members of Glendale’s large Armenian-American community, many of whom had never invested in the stock market. On April 13, 2004, the United States District Court for the Central District of California ordered Garian and NIE to repay $2,602,490 in ill-gotten gains they received from investors. The court further ordered Garian to pay a civil money penalty in the amount of $120,000 based on his fraudulent conduct. On Feb. 12, 2004, the court entered an order against Garian and NIE permanently enjoining them from committing future violations of the antifraud, investment adviser fraud, and securities and investment company registration provisions of the federal securities laws. On April 16, 2004, the SEC entered an administrative order barring Garian from association with any investment adviser. [SEC v. An order has been issued authorizing FirstEnergy Corp., a registered holding company; and the following of its direct or indirect public utility subsidiaries: Ohio Edison Company; The Cleveland Electric Illuminating Company; The Toledo Edison Company; and Pennsylvania Power Company to acquire secured promissory notes in connection with the sale of these utility subsidiaries’ respective interests in certain fossil- fuel and hydroelectric generating facilities to an exempt wholesale generator, an indirect subsidiary of FirstEnergy.
