ENFORCEMENT PROCEEDINGS IN THE MATTER OF RUSSELL JONES On August 4, the Commission issued an Order Instituting Administrative Proceedings Pursuant to Section 15(b) of the Securities Exchange Act of 1934, Making Findings, and Imposing Remedial Sanctions against Russell W. Jones. The Order finds that on July 25, 2005, United States District Judge James C. Turk of the Western District of Virginia permanently enjoined Jones from violating the antifraud, securities registration, and broker-dealer registration provisions of the federal securities laws in the district court action SEC v. Russell W. Jones et al., Civil Action No. 5:01CV00104 (W.D. Va.) (judgment by consent entered 7/25/05). The Commission’s complaint alleged that, Jones and others obtained over $1.9 million by promoting a fraudulent bank-instrument trading program using a network of local agents to solicit investors. Based on information Jones provided to them, these agents made several false claims in promoting the program including the following: (1) that investors' funds would be used to trade in European bank instruments; (2) that this activity would yield returns in excess of 200% within forty-five days; and (3) that the International Monetary Fund sponsored the program. Jones unilaterally decided to wire the funds to an altogether different fraudulent program. The funds disappeared shortly after Jones wired them. Thereafter, and continuing into 2002, Jones lulled investors by (among other things) assuring them that they would still realize the promised returns by sharing in the proceeds of yet another fraudulent program. Based on the injunction entered against him, the Commission ordered that Jones be barred from association with any broker or dealer. Va., judgment by consent entered 7/25/05] (Rel. 34-52211; File No. 3-12005; LR-19326) COMMISSION ORDERS HEARINGS ON REGISTRATION REVOCATION FOR FIVE COMPANIES FOR FAILURE TO MAKE REQUIRED PERIODIC FILINGS On August 5, the Commission instituted public administrative proceedings to determine whether the registration of each class of the securities of the following five companies should be revoked or suspended for failure to make required periodic filings with the Commission: Divedepot.com, Inc. GS Telecom Ltd. Rocky Mountain Financial Enterprises, Inc. Studio City Holding Corporation US Data Authority, Inc. In the Order Instituting Proceedings, the Division of Enforcement alleges that the five issuers are delinquent in their required periodic filings with the Commission. In these proceedings, instituted pursuant to Section 12(j) of the Securities Exchange Act of 1934 (Exchange Act), a hearing will be scheduled before an Administrative Law Judge. At the hearing, the judge will hear evidence from the Division of Enforcement and the respondents to determine whether the allegations of the Division of Enforcement contained in the Order, which the Division alleges constitute violations of Section 13(a) of the Exchange Act and Rules 13a-1 and 13a-13 thereunder, are true. The judge will then determine whether the registrations of the securities of the respondents should be revoked, or in the alternative, suspended for a period not exceeding twelve months. The Order requires the judge to issue an initial decision in these proceedings not later than 120 days from the date of service of the Order, pursuant to Rule 360(a)(2) of the Commission’s Rules of Practice. Welch, Jr., Branch Chief, (202) 551-4731 (Rel. 34-52214; File No. 3-12006) COMPLAINT FILED AGAINST DALE HATCH ALLEGING MISAPPROPRIATION OF FUNDS FROM A STATE 529 PLAN On August 4, the Commission filed a complaint in the United States District Court for the District of Utah, against Dale C. Hatch, the former director of the Utah Educational Savings Plan. The complaint alleges that Hatch violated the securities laws by misappropriating funds that should have been allocated to the accounts of participants who had placed their money with the UESP. The complaint also alleges that Hatch established secret accounts and transferred over $500,000 in unallocated participant funds into Hatch’s nominee accounts. Finally, the complaint alleges that Hatch transferred approximately $85,000 from the secret nominee accounts into personal bank accounts for his own use. The complaint alleges that Hatch violated the antifraud provisions of Section 17(a) of the Securities Act of 1933 and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 promulgated thereunder. The Commission seeks an injunction from future antifraud violations and civil money penalties. [SEC v. Hatch, Docket No. 2:05CV00654, U.S.D.C., D.Ut] (LR-19324) DISTRICT COURT CASE RESOLVED AGAINST DYNAMIC ENVIRONMENTAL SOLUTIONS, INC. The Commission announced that on July 26, 2005, the Honorable Sam A. Crow of the United States District Court for the District Of Kansas approved a settlement between the Commission and Dynamic Environmental Solutions, Inc. (DES). Under the terms of the settlement, the Commission’s claims against DES were dismissed with prejudice. Along with the dismissal, $65,000 previously frozen by the Court was returned to DES and the court-appointed Receiver kept $190,439.62 for the benefit of defrauded investors. The Commission’s civil action named as defendants David A. Tanner, d/b/a Capital Enhancement Club (CEC) and others (Civil Action No. 05-4057-SAC, United States District Court; District of Kansas; Topeka Division). The Commission alleges that Tanner master-minded a scheme to bilk investors of at least $15 million in a fraudulent high-yield investment program promising returns of between 7% to 11% per month, or annual returns of 120% to 260%. DES, who the Commission did not allege was involved in the fraudulent conduct, was a “relief defendant” who allegedly received funds traceable to CEC investors for no consideration. The pending District Court action is continuing against Tanner, CEC and others. [SEC v. David A. Tanner, et al., United States District Court for the District of Kansas, Civil Action No. 05-4057-SAC] (LR-19325) COURT FREEZES MORE THAN $2 MILLION OF ASSETS LINKED TO SUSPICIOUS TRADES IN REEBOK CALL OPTIONS PRIOR TO PROPOSED TAKEOVER ANNOUNCEMENT In an emergency federal court action filed today, the Securities and Exchange Commission obtained a court order freezing a securities account in the name of Sonja Anticevic, a Croatian national and resident. The Anticevic account engaged in a series of highly suspicious, and highly profitable, trades in “out of the money” call options of Reebok International Ltd. just prior to Reebok’s August 3, 2005, announcement that it had agreed to be acquired by adidas-Salomon AG. The Commission’s complaint alleges the following. Anticevic bought the options through an account maintained at CyberTrader, Inc., a Texas-based subsidiary of Charles Schwab & Co. Inc. Over the course of two days, Aug. 1 and Aug, 2, 2005, the Anticevic account purchased a total of 1,997 out-of-the-money call options for the shares of Reebok at a cost of approximately $130,000. The acquisition transaction was announced prior to the opening of the market on Wednesday, Aug. 3, 2005. When Reebok opened for trading on August 3, the price of Reebok’s common stock rose by nearly 30% from the previous day’s closing price, opening at $57.40, an increase of over $13.45 per share. On August 3, the Anticevic account sold all of the call options, realizing profits of over $2.04 million. On Aug. 3, 2005, shortly after her sale of the call options, CyberTrader received a wire instruction request to transfer approximately $870,000 from the account to an account in Salzburg, Austria. As a result of the foregoing, the Commission alleges that Anticevic engaged in illegal insider trading in violation of Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5. The complaint seeks permanent injunctive relief, the disgorgement of all illegal profits, and the imposition of civil monetary penalties. Among other relief, the Court’s Temporary Restraining Order freezes the proceeds from the Reebok transactions. In addition, the Order imposes an expedited discovery schedule and prohibits the defendant from destroying documents. The Commission acknowledges the assistance of the Philadelphia Stock Exchange.
