employees, 12.5 hectars total area of land and presmises. The land is used
for workshops, displays room, pasture, and warehouse. The area is located

BIRLIK Co. Ltd. has 3 main areas of activities: furniture manufacturing -

Annual sales amount USD 40,000-60,000. Most of the clients are local and
national companies and physical entities. The company has a competitive
advantage with their own pastures, livestock breeding, location and schedule
of payment arranged for clients in the farming unit; in the furniture
manufacturing unit pricing and possibility of deferred payments make the
company competitive.

The company has an experience of foreign economic activity with Russia and
Georgia through single transactions of purchase of glass, wood, metal.

As a viable and most attractive project the company proposes to set up a
joint venture with an American company in meat and milk processing area.

Announcement
of the State Property Committee

In accordance with the Decree of the President of the Republic of Azerbaijan N: 646 on "measures for demonopolization and privatization of the construction industry" dated December 2, 1997, the "Investment Tender" provision approved by the Decree of the President dated September 29, 1998, Resolutions of the Chairman of the State Property Committee N: 133 dated February 26, 1999 and N: 177 dated March 24, 1999 the State Property Committee of the Azerbaijan Republic announces an Investment Tender ("the Tender") for the sale of shares of Garadag Cement Open-end Joint Stock Company ('the Company).

I. Information on Garadag Cement Joint Stock Company:

Legal address: Baku city, Garadag district, Sahil settlement;
Main line of business: cement production and sale;
Charter capital: 159,064,422,000 (one hundred and fifty billion sixty four million four hundred and twenty two thousand) manats*;
Number of shares issued: 1,590,644 (one million five hundred and ninety thousand six hundred and forty four) shares;
Types of shares issued: Ordinary shares;
Face value of one share: 100,000 (one hundred thousand) manats;
Number of shares offered for sale through the Investment Tender: 890,809 (eight hundred and ninety thousand eight hundred and nine) shares;
Payables: 46,962,287,000 (forty six billion nine hundred and sixty two million two hundred and eighty seven thousand) manats;
Receivables: 18,154,848,000 (eighteen billion one hundred and fifty four million eight hundred and forty eight thousand) manats;


II. Main goals and objectives of the privatization of the Company:

1. Maximization of the inflow of investment for the purpose of reconstruction and modernization of the Company to the best standard worldwide;
2. Maximization of revenues for the budget from the sale of shares of the Company;
3. Redemption of sufficient number of state privatization vouchers and options in the process of privatization of the Company;
4. Development of the cement industry which is an important part of the construction industry of the country and transformation of the Company into an export-oriented enterprise;
5. Enhancement of the level of management of the Company;
6. Resolution of social and environmental issues arising in connection with privatization of the Company;


III. The State Property Committee has involved a Financial Consultant in connection with the privatization of the Company.

1. Winner of the Tender, a consortium comprising KPMG Audit company, Credit Commercial de France Investment bank and the Wicklow Group Law firm, has been selected as the Financial Consultant ("the Consultant"). The consortium has acted in accordance with the "Contract for Consultant's Services" concluded with the State Property Committee on October 16, 1998.
2. In accordance with this Contract the Consultant has prepared an Information Memorandum. This Information Memorandum can be asked for at the Republican Auction Center (Baku city, 49, Telnov Street, in the building of the cultural palace, named after "Khatai"). The Information Memorandum can also be asked for at the following address, from the Consultant at conditions determined by the Consultant:

The Information Memorandum contains the necessary information of the Company that might be of interest to investors.


IV. Terms, Conditions, and Requirements for the Bidders:

1. Together with individuals and legal entities from the Azerbaijan Republic, foreigners and foreign legal entities can also participate in the Tender.

2. Investors with a positive experience of managing and controlling a cement production, investing into cement production will be given a preference during the Tender sum-up.

3. Each participant shall undertake subject to becoming the winner of the Investment Tender to submit 400,000 (four hundred thousand) state privatization checks (100,000 (one hundred thousand) state privatization vouchers) to the State Property Committee for redemption within 20 (twenty) banking days from the moment of signing of the Sale and Purchasing Agreement;

4. According to the existing laws in the event that the Tender winner is a foreign investor, the Company shares purchase transaction will be executed subject to submission of 400,000 (four hundred thousand) state privatization options at the time of its registration (any day after the moment of Tender sum-up and conclusion of the Share Sale and Purchase Agreement) at the National Depository Center.


V. List of documents to be submitted by the Bidders for participation in the Tender, and requirements to their format:

1. Application in the format approved by the State Property Committee and the list of documents attached (in 2 copies);

2. Founding and presentation documents of the Bidder;

3. A letter of Guarantee in the amount if 500,000 (five hundred thousand) USD, issued by a first-class bank to confirm the Bidders capabilities and to guarantee the Bidder's commitment to respect the terms and conditions of the Tender or the guarantee in the for of a receipt conforming the deposit of 200,000 (two hundred thousand) USD to the account N: 315846USD, 3938-01 at the National Bank of the Azerbaijan Republic;

4. Commitment to fulfill paragraphs 3 and 4 of Section IV;

5. Offer for the amount willing to pay to the budget in addition to the one indicated in paragraph 3 of Section IV;

6. Offer for the part of the debt owed by the Company to the budget to be paid;

7. Offer for the transfer to the Company's account of the amount comprising certain part (up to 5%) of the proposed total investment amount;

8. Comprehensive and a 3-year Investment Program (the Program shall specify the amount, the purpose of investment and the investment objects for every 6 months);

9. The Social and Environmental Program envisaging the following:
- Proposals for utilization of the work force for the next 3 years;
- Specific proposals for protection of the rights of the Company employees in case of their dismissal;
- List of specific measures for the support (with indication of the costs of these proposed measures for the next 3 years) of the Garadag District Municipality in connection with several social entities and obligations for their management and operation transferred by the Company to the Municipality to ensure the continuation of activities of these entities.
- Environmental program for next 3 years, envisaging measures for achieving high environmental standards in production, conversation of the environment and protection of the health of personnel in accordance with the European Union standards;
- A Work Plan for the next 3 years for introduction of know-how, retaining of personnel and enhancing the quality of management;


VI. The following points system will be used during the Tender sum-up:

The discounting will be performed using prevailing centralized credit facility rates of the National Bank of the Azerbaijan Republic to the date of Investment Tender sum-up. Points on amounts indicated in paragraph 2, 3 and 4 of the table are calculated as the product of the maximum point per each paragraph and the amount offered divided by the maximum amount offered among all investors pursuant to the corresponding Section.

VII. Terms and Conditions for the Tender winner:

1. Signing of Share Sale and Purchase Agreement within 15 (fifteen) business days from the moment of approval of the Tender sum-up Protocol;

2. Implementation of the Investment Program, offered by the Tender winner pursuant to the offer;

3. Transfer to the budget of the payable part of the debt owed by the Company to the budget, within 10 (ten) banking days;

4. Submission by the Tender winner of 100,000 (one hundred thousand) state privatization vouchers to the State Property Committee of the Azerbaijan Republic for redemption within 20 (twenty) banking days from the moment of signing of the Share Sale and Purchase Agreement;

5. Transfer to the account N: 315846AZM, 3286-01 at the International Bank of Azerbaijan of the amount offered pursuant to paragraph 5 of Section V within 30 (thirty) banking days from the signing of the Share Sale and Purchase Agreement;

6. Transfer to the Company account of the amount offered by the Tender winner pursuant to paragraph 7 of Section V, within 30 (thirty) banking days from the signing of the Share Sale and Purchase Agreement.

7. Discharge of payment (Success fee) calculated pursuant to Section VIII to the Consultant for the services performed, within 30 (thirty) banking days from the moment of signing of the Share Sale and Purchase Agreement.


VIII. Success Fee

The Success fee is the amount calculated by application of the following rates to the Total Transaction Value:

- 3% up to USD 10 million
- 2% from USD 10 million up to USD 25 million
- 1.5% above USD 25 million

The Total Transaction Value is equal to the sum of the amounts indicated in paragraphs 5 and 6 of Section V and the investments indicated in paragraph 8 of the same section discounted to the Tender date.


IX. The offers of the bidders shall be submitted from 13 May 1999 to 28 June 1999 to the following address: Baku city, 20, Y. Safarov Street, room N: 606. The applications and offers will be accepted every business day in the indicated period from 10:00 to 18:00.

OBJECTIVES OF THE ASSIGNMENT ARE:

- TO DESIGN TAILORED INSTITUTIONAL STRENGTHENING PROGRAMMES
FOR UP TO 3 BANKS, IN CO-OPERATION WITH THE INDIVIDUAL
LOCAL BANKS;
- DESCRIPTION OF SUCH PROGRAMMES SHALL BE INCORPORATED INTO
BINDING TECHNICAL CO-OPERATION AGREEMENTS BETWEEN THE
LOCAL BANKS, THE CONSULTANT AND EBRD; AND
- TO IMPLEMENT THE COMPREHENSIVE PROGRAMMES DESIGNED IN
AREAS OF PRIORITY, E.G.STRATEGY, CREDIT MANAGEMENT,
TREASURY, ACCOUNTING, PLANNING/BUDGETING/ FINANCIAL
CONTROLS, IT, ETC.

THE TEAM OF CONSULTANTS WILL INCLUDE:

DRAFTING EACH BANK'S INSTITUTIONAL STRENGTHENING
PROGRAMME IN CO-OPERATION WITH THE BANKS AND
ELABORATING/MANAGING BUDGETS FOR EACH ACTIVITY/BANK AND
THE OVERALL ASSIGNMENT IN A MANNER THAT WILL ALLOW FOR
MAXIMISATION OF CONSULTANT INPUT, TRAINING OPPORTUNITIES
AND COLLECTIVE SPECIALIST TRAINING TO ALL BANKS (TAKING
DUE CARE TO MAINTAIN CHINESE WALLS IN SENSITIVE AREAS);
- INDIVIDUAL SEMI-RESIDENT CONSULTANT MANAGERS FOR EACH

RESPONSIBLE FOR IMPLEMENTATION OF THE PROGRAMME WITHIN
EACH BANK;
- SHORT-TERM SPECIALISTS WHO WILL WORK WITHIN EACH BANK TO
PROVIDE SPECIALIST CONSULTANCY SERVICES AND MAY BE SHARED
BY ALL BANKS EXCEPT IN THE AREA OF STRATEGY / PLANNING .

THE CONSULTANT IS EXPECTED TO DEMONSTRATE EXPERIENCE AND
QUALIFICATIONS IN THE AREAS OF CREDIT APPRAISAL, TREASURY,
ACCOUNTANCY/MIS AND STRATEGY, FINANCIAL PLANNING AND
BUDGETING.

THE ASSIGNMENT IS EXPECTED TO START AROUND OCTOBER 1999. EACH
BANK'S INTENSIVE DEVELOPMENT PROGRAMME WILL LAST BETWEEN 6 TO
12 MONTHS MAXIMUM; THE OVERALL ASSIGNMENT WILL LAST 24 MONTHS.

IT IS ANTICIPATED THAT THE CONTRACT FOR CONSULTANCY SERVICES
FOR THIS ASSIGNMENT WILL BE FINANCED THROUGH THE EBRD'S DONOR
FUNDED TECHNICAL CO-OPERATION FUNDS PROGRAMME. CONSULTANT
SELECTION WILL BE SUBJECT TO AVAILABILITY OF FUNDING FROM AN
APPROPRIATE DONOR. THERE ARE NO NATIONALITY RESTRICTIONS.

SUMMARY: This IMI reports on the second international tender to procure a growth stimulating lighting system (sistema dosvechivaniya rassady) for a greenhouse of 0.5 hectare. The tender will be organized by the Rekonstruktsii Teplichnykh Khozyaistv/RTK (the Greenhouse Enterprises Reconstruction Company) and will be held on June 15, 1999. End summary.

1.The Russian government program aimed at development of greenhouse business was adopted on January 7, 1999. According to the program, the federal government will allocate around $6.5 million to the most promising greenhouse companies to improve their business and increase output of fresh vegetables. For more information on the government program, please see the FCS report: "The Russian Government Program for Greenhouse Companies Creates Trade and Cooperation Opportunities for U.S. Companies" posted on the BISNIS web site at: WWW.BISNIS.MAC.DOC.GOV/BISNIS.

Within this program the RTK Company has announced the second international tender to procure a growth stimulating lighting system for seedling for the modernization of its greenhouse of 0.5 hectare. A number of tenders to procure other greenhouse equipment will follow in the near future.

2. Tender's procedure: the tender will be held according to the tender procedures set by the World Bank (although we are not aware of any World Bank's participation).

American firms can obtain detailed information on the required equipment from the RTK Company by a written request. The set of tender documents is $240 including VAT. No information on the parameters of the equipment was included in the announcement.

The bids are to be delivered to the RTK Company by 15:00 (Moscow time) on June 11, 1999.

The tender results will be made public at 10:00 on June 15, 1999.

3. Financing: the procurement will be financed from the Russian Federal Program for Greenhouse Reconstruction and partially from the RTK Company's funds.
