2.   The Government of Russian Federation has received a loan from the International Bank for Reconstruction and Development  (IBRD) toward the cost of the Community Social Infrastructure Project, and intends to apply part of the proceeds of this loan to payments under the contact for the Goods specified below.

1.  THE NOVEMBER 3, 1999 "NEUTRAL TURKMENISTAN"

NEWSPAPER PUBLISHED AN INVITATION FOR PARTICIPATION IN AN

INTERNATIONAL TENDER ON CREATION OF A GAS AND CHEMICAL

COMPLEX IN TURKMENISTAN.  AN UNOFFICIAL TRANSLATION OF

THE TENDER ANNOUNCEMENT FOLLOWS AT PARAGRAPH 4. END

SUMMARY.

 

2.  THE GOTX HAS CHOSEN THE SEIDI OIL REFINERY, BUILT IN

1991, PURSUANT TO SOVIET DESIGN, AS THE FACILITY WHERE IT

WILL IMPLEMENT A TURNKEY CONSTRUCTION OF A GAS AND

CHEMICAL COMPLEX.  ALTHOUGH THE REFINERY CURRENTLY

OPERATES AT ONLY 6-8 PERCENT OF ITS CAPACITY DUE TO A

SHORTAGE OF CRUDE OIL, THE GOTX IS NOW WORKING ON

INCREASING THE SUPPLY OF FEED STOCK.  THE SEIDI REFINERY

IS CO-LOCATED WITH INFRASTRUCTURE SUCH AS THE TURKMENABAD

THERMAL POWER STATION, AND IS CONNECTED BY RAIL WITH

OTHER MAIN CITIES IN TURKMENISTAN.

 

3.    AS OIL AND GAS PRODUCTION INCREASES IN

TURKMENISTAN, THE GOTX WANTS MORE VALUE ADDED PRODUCTS

MADE OF LOCAL HYDROCARBON RESOURCES AND BELIEVES ONE SUCH

PRODUCT, POLYETHYLENE, WILL BE A STARTING POINT FOR THE

DEVELOPMENT OF A PETRO-CHEMICAL INDUSTRY IN TURKMENISTAN.

THE ANNUAL DOMESTIC DEMAND FOR POLYETHYLENE IN

TURKMENISTAN IS AROUND 50,000 TONS WHILE TOTAL ANNUAL

PRODUCTION COULD TOTAL 200,000 TONS.  THE GOTX HOPES TO

EXPORT THE REMAINING 150,000 TONS TO ASIA AND EUROPE.

SEVERAL FOREIGN COMPANIES HAVE ALREADY MADE PRESENTATIONS

OF THEIR POLYETHYLENE PRODUCTION PROJECTS TO THE GOTX.

AMONG THEM ARE UOP (U.S.A.), UNION CARBIDE (U.S.A.),

LURGI HEMNITZ (GERMANY), AND ZALGITTER (GERMANY).  TO

CHOOSE THE BEST PROPOSAL, THE GOTX HAS ANNOUNCED A TENDER

ON CONSTRUCTION OF A GAS AND CHEMICAL COMPLEX.

COMMISSION ANNOUNCES A TENDER FOR CREATION OF A GAS AND

CHEMICAL COMPLEX IN THE NEXT CENTURY.

 

(1)  PURPOSE AND PRODUCTION CAPACITY: THE PROPOSED GAS

AND CHEMICAL COMPLEX IS DESIGNED FOR THE CREATION OF

POLYETHYLENE PRODUCTION WITH AN ANNUAL CAPACITY OF

200,000 TONS OF POLYETHYLENE MADE FROM NATURAL GAS IN

TURKMENISTAN.

2. BACKGROUND: BEFORE 1991, UKRNAFTOPRODUKT WAS THE EXCLUSIVE SUPPLIER OF CRUDE OIL AND OIL PRODUCTS FOR UKRAINE.  ALTHOUGH THE COMPANY IS NO LONGER A MONOPOLY IN THE UKRAINIAN OIL MARKET, IT OWNS A SUBSTANTIAL DISTRIBUTION NETWORK FOR OIL PRODUCTS AND LUBRICANTS IN EVERY REGION OF UKRAINE.  JSHC UKRNAFTOPRODUKT OWNS A STAKE IN 9 DISTRIBUTION COMPANIES.  THE FIRM DISTRIBUTES IN ALL REGIONS OF UKRAINE, INCLUDING EXIMNAFTOPRODUKT OF ODESSA, UKRAINE, WHO HANDLES 80% OF ALL OIL AND PETROLEUM PRODUCTS TRANSSHIPPED IN UKRAINE.

 

3. THE STATE PROPERTY FUND OF UKRAINE IS ACCEPTING BIDS FOR A 44.19% STAKE SHARE IN THE JSHC UKRNAFTOPRODUKT, OR 53,989,420 COMMON SHARES. THE FIXED VALUE OF THE SHARES IS UAH 15,157,600.  THE FACE VALUE OF ONE COMMON SHARE IS UAH 0.25.  THE TOTAL CHARTER CAPITAL IS UAH 30,544,122.5. THE CURRENT CURRENCY EXCHANGE RATE IS UAH 4.455 PER US$1.

 

4. IN THE FIRST HALF OF 1999, THE COMPANY SOLD 7,140 METRIC TONS OF GASOLINE, 4,800 METRIC TONS OF DIESEL FUELS, AND 620 METRIC TONS OF M-40 AND M-100 FUEL OIL (MAZOUT).

7. PRIVATIZATION STRATEGY FOR THE COMPANY: A 44.19% OF THE FIRM IS BEING OFFERED FOR SALE IN NOVEMBER 1999. A 50% OF THE COMMON STOCK PLUS ONE SHARE WILL REMAIN WITH THE UKRAINIAN GOVERNMENT. (JSHC UKRNAFTOPRODUKT IS EXPECTED TO BE INCLUDED IN THE LIST OF "STRATEGIC COMPANIES" TO REMAIN STATE-CONTROLLED FOR THE NEXT SEVERAL YEARS.) 5.8% OF THE COMMON SHARES WILL BE OFFERED TO EMPLOYEES ON PREFERENTIAL TERMS. B)      FINANCING THE US$2 MILLION RECONSTRUCTION OF PRODUCTION FACILITIES IN THE YEAR FOLLOWING THE PURCHASE OF THE SHARES;

C)      PROVED GIVE-AND-TAKE CONTRACTS (SUPPLY OIL, TO BE PROCESSED BY UKRAINIAN OIL PROCESSING COMPANIES IN A VOLUME SUFFICIENT TO PRODUCE ONE MILLION METRIC TONS OF PROCESSED OIL), WHICH IS TO BE DISTRIBUTED THROUGH THE DISTRIBUTION NETWORK OF THE JSHC UKRNAFTOPRODUKT.

FLOODS AND LANDSLIDES. THE PROJECT CONSISTS OF: (A)

CIVIL WORKS; (B) CONSTRUCTION MATERIALS; (C)

EQUIPMENT; AND (D) CONSULTING SERVICES FOR

CONSTRUCTION SUPERVISION, ENVIRONMENTAL AND SOCIAL

IMPACT MONITORING.

APPROVED FOR EQUIPMENT AND CIVIL WORKS FOR THE

PERIOD BETWEEN FLOOD OCCURRENCE AND LOAN

EFFECTIVENESS, WITH RETROACTIVE FINANCING OF $1

MILLION. PROCUREMENT OF GOODS AND SERVICES TO BE

FINANCED FROM THE BANK LOAN WILL BE UNDERTAKEN IN

ACCORDANCE WITH THE BANK'S GUIDELINES FOR

PROCUREMENT THROUGH FORCE ACCOUNT, DIRECT PURCHASE

AND LOCAL COMPETITIVE BIDDING FOR CIVIL WORKS AND

DIRECT PURCHASE FOR EQUIPMENT.

SERVICES: A TOTAL OF 290 PERSON-MONTHS OF DOMESTIC

CONSULTANT SERVICES FOR DESIGN REVIEW, CONSTRUCTION

SUPERVISION AND QUALITY CONTROL.
