The subject matter of the open meeting scheduled for Monday, February 13, will be: The Commission will hear oral argument on an appeal by Eagletech Communications, Inc. (Eagletech) from the decision of an administrative law judge. The Division of Enforcement will argue in support of the law judge's decision. The law judge found that Eagletech had failed to file with the Commission Eagletech's mandatory quarterly reports for any period after Dec. 31, 2001, and its mandatory annual reports for any period after March 31, 2001. The law judge found that, by failing to file its reports, Eagletech willfully violated Section 13(a) of the Securities Exchange Act of 1934 and Rules 13a-1 and 13a-13 thereunder. The law judge revoked the registration of Eagletech's securities. Among the issues likely to be argued is whether Eagletech violated the Exchange Act and rules thereunder as found by the law judge. CLOSED MEETING - WEDNESDAY, FEBRUARY 15, 2006 - 10:00 A.M. ENFORCEMENT PROCEEDINGS IN THE MATTER OF CUMMINS INC. On February 7, the Commission issued an Order Instituting Cease-and- Desist Proceedings, Making Findings, and Imposing a Cease-and-Desist Order Pursuant to Section 21C of the Securities Exchange Act of 1934 (Order) against Cummins Inc., an Indiana corporation headquartered in Columbus, Indiana. Cummins manufactures, distributes, and services engines and engine-related products world-wide. The Order finds that from 1997 through 2002, Cummins failed to reconcile accounts payable accounts and other key balance sheet accounts at two manufacturing locations, in Fridley, Minnesota and Darlington, United Kingdom. These manufacturing locations together accounted for approximately fifteen to twenty percent of Cummins' total revenues. Because Cummins failed to reconcile these accounts, errors in the accounts went uncorrected. The errors had a material impact on Cummins' previously-reported results. On Aug. 4, 2003, Cummins restated its financial results for the years 2000 through 2002 to correct these and other errors. Cummins also failed to maintain sufficient internal accounting controls to provide reasonable assurances that its transactions were recorded as necessary to permit the preparation of its financial statements in conformity with generally accepted accounting principles. Based on the above, the Order requires Cummins to cease and desist from committing or causing any violations and any future violations of Sections 13(a), 13(b)(2)(A), and 13(b)(2)(B) of the Securities Exchange Act of 1934 and Rules 12b-20, 13a-1, and13a-13 thereunder. Cummins consented to the issuance of the Order without admitting or denying any of the Commission's findings. (Rel. 34-53236; AAE Rel. 2370; File No. 3-12173) JACK HUGGINS AND JON KNIGHT BARRED FROM ASSOCIATION WITH ANY INVESTMENT ADVISER On February 7, the Commission issued orders barring Jack Anthony Huggins and Jon M. Knight from association with any investment adviser, based on their convictions in state criminal proceedings. Huggins and Knight consented to the issuance of the Orders without admitting or denying the findings, except as to the Commission's jurisdiction and the existence of their respective plea agreements. The Orders find that at all relevant times Huggins was the President and Knight was the Chief Investment Officer of Atlantic Portfolio Analytics and Management, Inc. (APAM), an investment adviser that was registered with the Commission from 1985 through April 2000. Huggins and Knight also owned International Portfolio Analytics (IPA), a Bahamian corporation that managed funds for off-shore clients and was affiliated with APAM through their common ownership. The Evergreen Trust, a Bahamian trust, was created to maintain the investment assets of Evergreen Security Ltd. (Evergreen), a British Virgin Islands company that marketed five-year certificates of deposits to offshore trusts established by U.S. citizens. IPA provided investment management services to the Evergreen Trust. On Dec. 3, 2004, Huggins pleaded guilty to misdemeanor criminal possession of stolen property in the fifth degree and Knight pleaded guilty to attempted grand larceny in the first degree in violation of New York law. In December 1997, a Bahamian company owned and controlled by Huggins and Knight, Mataeka Ltd., executed a $6.5 million loan from the Evergreen Trust. The criminal charges to which Huggins and Knight pleaded guilty related to this loan agreement. Huggins was sentenced to three years probation and fined $50,000. Knight was sentenced to five years probation and fined $50,000. (Huggins - Rel. IA-2481; File No. 3-12174; Knight - Rel. IA-2482; File No. 3-12175) IN THE MATTER OF SCOTT SACANE On February 7, the Commission issued an Order Instituting Administrative Proceedings Pursuant to Section 203(f) of the Investment Advisers Act of 1940, Making Findings, and Imposing Remedial Sanctions (Order) against Scott R. Sacane. The Order finds that Sacane was the managing member of Durus Capital Management, LLC, an investment adviser to three hedge funds (collectively, the Durus Funds), and that Sacane pled guilty on Dec. 21, 2005, to one count of engaging in a transaction, practice, and course of business which operated as a fraud and deceit upon his clients, in violation of Section 206 of the Investment Advisers Act of 1940. The count of the criminal information to which Sacane pled guilty alleged, inter alia, that Sacane knowingly and willfully inflated the value of the Durus Funds, thereby garnering increased management fees and performance incentive fees to which he was not entitled. Based on the above, the Order bars Sacane from association with any investment adviser. Sacane consented to the issuance of the Order without admitting or denying any of the findings in the Order other than his guilty plea. (Rel. IA-2483; File No. 3-12176) COURT ENTERS CONSENT JUDGMENT AGAINST SERAFIN SIERRA IN FAX BLASTING CASE On February 3, U.S. District Judge Paul A. Crotty in New York entered judgment against Serafin Sierra, enjoining him from future violations of the anti-fraud provisions of the federal securities laws, requiring disgorgement of profits and imposing a $25,000 civil penalty. The judgment, which was entered with Sierra's consent pursuant to a settlement, resolves the case against him. On July 18, 2005, the Securities and Exchange Commission sued two stock promoters and Sierra, an employee of a fax blasting company, for securities fraud. In its action, the Commission alleged that the three had participated in a scam designed to mislead investors into believing they had inadvertently received a confidential stock tip faxed from a stockbroker to his client. The handwritten fax had the appearance of an urgent message from a financial planner intended only for his client, "Dr. Mitchel," urging the purchase of a stock that was about to triple in price. In fact, neither the financial planner nor "Dr. Mitchel" exists. The fax was sent to more than one million recipients across the country by stock promoters who made over half a million dollars unloading their shares on duped investors. The judgment entered against Sierra enjoins him from aiding and abetting violations of Section 10(b) of the Securities Exchange Act of 1934 and Commission Rule 10b-5. In addition to the Commission's civil action, the U.S. Attorney's Office for the Southern District of New York is prosecuting a criminal action against Yafa and stock promoter Michael Pickens. Joshua Yafa, et al., USDC, SDNY, Civil Action No. 05-CV-6480 (PAC)] (LR-19556) STANDARDS SETTING BOARDS FINAL RULES The Commission approved Public Company Accounting Oversight Board Auditing Standard No. 4 (PCAOB-2005-01): Reporting on Whether a Previously Reported Material Weakness Continues to Exist and a Conforming Amendment to Interim Auditing Standards - AT sec. 101, Attest Engagement. Auditing Standard No. 4 and the Conforming Amendment to AT sec. 101 establish requirements that apply when an auditor is engaged to report on whether a previously reported material weakness in internal control over financial reporting continues to exist. The approval order also includes guidance on acceptable forms for use in filing management's report on reporting on whether a previously reported material weakness continues to exist and the auditor's related report. Publication of the approval order for Auditing Standard No. 4 and the Conforming Amendment to AT sec. 101 is expected in the Federal Register during the week of February 6. (Rel. 34-53227) SELF-REGULATORY ORGANIZATIONS IMMEDIATE EFFECTIVENESS OF PROPOSED RULE CHANGES A proposed rule change filed by the New York Stock Exchange (SR-NYSE- 2005-80) amending NYSE Rule 36 to permit Registered Competitive Market Makers (RCMMs) to use Exchange authorized and provided portable phones and providing the conditions under which Floor brokers and RCMMs may use such phones has become effective under Section 19(b)(3)(A) of the Securities Exchange Act of 1934.
