Chairman Letitt,
     
As a major investor with both Calvert and Fidelity Mutual Funds, I a 
writing you to express my strong opposition to the new SEC proposed 
rules--#S7-25-97.    It is of major importance to preserve the ability 
of most shareholders to participate in the responsible shareholder resolution
process.   To revoke that right under the guise of "deregulation" is 
another example of blind faith in corporate boards.   Therefore, I urge 
you to oppose such bylaws at the SEC.   Thank you for your time and consideration.
