SEC NEWS DIGEST Issue 2004-25 February 6, 2004 ENFORCEMENT PROCEEDINGS MASSACHUSETTS FINANCIAL SERVICES CO. WILL PAY $225 MILLION AND MAKE SIGNIFICANT GOVERNANCE AND COMPLIANCE REFORMS TO SETTLE SEC FRAUD CHARGES CONCERNING MUTUAL FUND MARKET TIMING On February 5, the Commission filed a settled administrative and cease- and-desist proceedings against Massachusetts Financial Services Co. (MFS), its chief executive officer John W. Ballen, and its president and chief equity officer Kevin R. Parke, for violating federal securities laws by allowing widespread market timing trading in certain MFS mutual funds in contravention of those funds' public disclosures. The Commission ordered MFS to pay $225 million, consisting of $175 million in disgorgement and $50 million in penalties. The Commission's Order further requires MFS to undertake certain compliance and mutual fund governance reforms designed to enhance the independence of mutual fund boards of trustees and strengthen oversight of MFS's compliance with the federal securities laws. For their roles in the misconduct, the Commission ordered MFS CEO Ballen and president Parke each to pay a penalty of $250,000, disgorge over $50,000 each in ill-gotten gains derived from MFS's market timing practices, and refrain from associating with any investment adviser or registered investment company for a period of nine months and six months, respectively. In addition, for a period of three years, Ballen and Parke will be prohibited from serving as an officer or director of any investment adviser, from serving as an employee, officer, or trustee of any registered investment company, and from performing certain duties for any investment adviser or registered investment company. All of the money paid by MFS, Ballen, and Parke will be distributed to harmed shareholders. According to the Commission Order, beginning in late 1999, MFS began including disclosures in its retail mutual fund prospectuses that prohibited market timing trading in those funds. Contrary to those disclosures, MFS internally categorized certain of its retail funds as "Unrestricted Funds" with respect to market timing, and knowingly permitted widespread market timing in these funds. Ballen and Parke implemented MFS's undisclosed policy permitting market timing trading in its Unrestricted Funds during the same period that they signed registration statements for these funds that stated they prohibited market timing. The Commission also found that late trading and market timing activities in the Unrestricted Funds caused appreciable harm and disruption to those funds. The Commission's Order finds that MFS, Ballen, and Parke violated Sections 206(1) and 206(2) of the Investment Advisers Act and Section 34(b) of the Investment Company Act, and requires them to cease and desist from violating these provisions. MFS, Ballen, and Parke consented to entry of the Commission's Order without admitting or denying the findings. The Commission's investigation of MFS and this enforcement action have been coordinated with the New York Attorney General's Office and the New Hampshire Bureau of Securities Regulation, and the Commission's investigation is continuing. Fontaine, CPA, has applied for and been granted reinstatement of his privilege to appear and practice before the Commission as an accountant responsible for the preparation or review of financial statements required to be filed with the Commission. Mr. Fontaine, who was denied the privilege of appearing or practicing before the Commission on Oct. 21, 1999, pursuant to a settled proceeding, has represented that he has complied and will continue to comply with the terms of the order that denied him from appearing or practicing before the Commission as an accountant. WITH VIOLATING THE REGISTRATION PROVISIONS OF THE SECURITIES ACT The Commission announced that on Jan. 30, 2004, it filed an amended complaint in the U.S. District Court for the Middle District of Georgia, charging two additional defendants, Donald N. Ellis (Ellis) and D&E Acquisitions, Inc. (D&E), with violating the registration provisions of the federal securities laws. Ellis, age 59, is a resident of Union Point, Georgia and the sole owner of D&E, a Georgia corporation headquartered in Union Point. The Commission alleges that D&E raised approximately $6 million from investors in an unregistered, non-exempt offering of securities. The Commission's action amends the Commission's complaint, filed on May 9, 2003, against John Benjamin Stewart, Jr. (Stewart), Stewart Finance Company (Stewart Finance) and Stewart National Finance Company (Stewart National). The amended complaint alleges that Stewart and his companies, Stewart Finance and Stewart National, previously engaged in a series of unregistered offers and sales of securities, without an exemption from registration, in violation of the federal securities laws. According to the amended complaint, Stewart, for his own benefit, caused D&E to be formed through Ellis, a straw man, for the purpose of allowing securities previously issued by Stewart Finance and Stewart National to be rolled over and issued through D&E. The offering through D&E constituted an unregistered offering of securities, which is integrated with the earlier unregistered, non-exempt offerings. The amended complaint alleges that Stewart owned and controlled Stewart Finance and Stewart National. Stewart Finance, Stewart National and D&E were all engaged in the consumer finance business of making small, short- term loans to borrowers. The amended complaint further alleges that by their conduct, the defendants violated the registration provisions set forth in Sections 5(a) and 5(c) of the Securities Act. The Commission seeks, with respect to each defendant, permanent injunctions, disgorgement, prejudgment interest and civil penalties pursuant to Section 20(d) of the Securities Act. AND THREE OF ITS FORMER OFFICERS FOR ENGAGING IN TWO SCHEMES TO ARTIFICIALLY INFLATE CUMULUS' FINANCIAL POSITION On Jan. 22, 2004, Judge Ronald Guzman of the U.S. District Court for the Northern District of Illinois entered Final Judgments and Orders of Permanent Injunction against Cumulus Media Inc., a Delaware corporation with headquarters in Atlanta, Georgia, its former Chief Financial Officer, Richard J. Bonick, Jr., its former Executive Chairman, Richard W. Weening, and its former Vice President of Finance, Daniel O'Donnell, for engaging in two separate schemes to artificially inflate Cumulus' financial position. The Commission's complaint, filed on Dec. 10, 2003, alleged that throughout 1999, Cumulus and Bonick prematurely recorded revenue from package advertising contracts into Cumulus' books and records causing Cumulus to overstate its net revenues and broadcast cash flows and understate its net losses in its quarterly reports for the first and third quarters of 1999 and in registration statements and prospectuses for two secondary offerings of Cumulus' common stock during July and November 1999. The Commission's complaint further alleged that in a second scheme, Cumulus, Weening and O'Donnell engaged in an attempt to manage Cumulus' earnings and broadcast cash flow for the fourth quarter of 1999 in order to bring those figures in line with Wall Street analysts' expectations. The Final Judgments, entered pursuant to the defendants' consents and without admitting or denying the allegations of the complaint, permanently enjoined the defendants from violating or aiding and abetting violations of the federal securities laws. Specifically, the Court permanently enjoined Cumulus and Bonick from violating or aiding and abetting violations of Sections 17(a)(2) and 17(a)(3) of the Securities Act of 1933, Sections 13(a), 13(b)(2)(A), 13(b)(2)(B) and 13(b)(5) of the Securities Exchange Act of 1934 and Rules 12b-20, 13a-13 and 13b2-1 thereunder. The Court permanently enjoined Weening and O'Donnell from violating or aiding and abetting violations of Sections 13(b)(2)(A) and 13(b)(5) of the Exchange Act and Rules 13b2-1 and 13b2-2 thereunder. Cumulus Media Inc., et al., Case No. 03-C-8908, USDC, ND Ill.] (LR- 18566; AAE Rel. 1951) COURT ENTERS PERMANENT INJUNCTION AGAINST SEBASTIAN CORRIERE IN $3.59 MILLION PRIME BANK FRAUD On Nov. 3, 2003, the Honorable Elizabeth A. Kovachevich, U.S. District Court for the Middle District of Florida, issued a final judgment entering a permanent injunction and imposing a total of $145,107.13 in disgorgement, prejudgment interest and civil penalty against Defendant, Sebastian Corriere (Corriere). This order was later amended on Dec. 3, 2003, to include provisions relating to the enforcement of the disgorgement and prejudgment interest amounts. The Court based its orders on a finding that Corriere offered and sold over $3.59 million in fictitious "prime bank" securities to investors throughout the United States and internationally. The Court ordered that Corriere disgorge $30,000 in investor funds he misappropriated, plus prejudgment interest totaling $5,107.10. The Court also imposed a third tier civil penalty against him in the amount of $110,000. In addition, the Court found the Relief Defendants, Maria Corriere, Quantum Equities, Inc., and The Kings Fellowship, Inc. jointly and severally liable with Corriere for their portions of the misappropriated investors funds and ordered them to disgorge $13,009.57, $15,990.43, and $1,000.00, and prejudgment interest in the amount of $1,891.69, $2,722.17, and $170.24, respectively. The Court's final judgment found that Corriere violated Sections 5(a), 5(c) and 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder. The Court previously issued a preliminary injunction against Corriere on June 18, 2002, and a temporary restraining order on April 18, 2002, based on a complaint filed by the Commission. Corriere, formerly a resident of Clearwater, Florida, now resides in Accra, Ghana, on the continent of Africa. [SEC v.
