SEC NEWS DIGEST Issue 2002-163 August 22, 2002 ENFORCEMENT PROCEEDINGS SECURITIES AND EXCHANGE COMMISSION REVOKES REGISTRATION OF NORTHSTAR NETWORK, INC. COMMON STOCK On August 21, the Commission instituted and simultaneously settled public administrative proceedings pursuant to Section 12(j) of the Securities Exchange Act of 1934 (Exchange Act) against NorthStar Network, Inc. (NorthStar). Without admitting or denying the findings in the Commission's Order, Northstar consented to the entry of an order revoking the registration of its common stock. In its Order, the Commission found that NorthStar had engaged in a fraudulent unregistered offering of its common stock by claiming, among other things, that the company had multi-million dollar contracts with major telecommunications companies and owned patent-pending technology able to generate revenues of $100 million in 18 months. The Commission further found that NorthStar filed a misleading Form 10-SB registration statement with the Commission that contained material misrepresentations and omissions concerning the compensation paid to certain officers of the company, and the company's ongoing unregistered securities offering. Further, the Commission found that NorthStar failed to: a) file required annual and quarterly reports; b) maintain accurate books and records; and c) maintain an adequate system of internal controls. Accordingly, the Commission found that Northstar failed to comply with Sections 10(b), 13(a) and 13(b)(2)(A) of the Exchange Act and Rules 10b-5, 13a-1 and 13a- 13 thereunder, and revoked the registration of NorthStar's common stock. (Rel. 34-46388, File No. 3-10869) SEC FILES FRAUD CHARGES AGAINST COMPUTER COMPANY AND ITS PRINCIPALS On August 21, the Commission filed a securities fraud case in federal district court against NorthStar Network, Inc., a publicly held company, its former president, Timothy J. Buzzelli, and its former vice- president, David Dutton. The Commission's complaint alleges that Buzzelli and Dutton fraudulently sold unregistered shares of NorthStar common stock to over 200 investors nationwide, raising approximately $1 million. According to the complaint, Buzzelli and Dutton, directly and indirectly, falsely represented to investors that NorthStar had over $10 million in assets, that major defense contractors were interested in its purportedly patent pending computer cooling system, and that the company had multi-million dollar contracts with large, publicly traded telecommunications companies. The complaint further alleges that Buzzelli and Dutton misappropriated investor funds to acquire personal property and to pay personal debts. In addition, the complaint charges that NorthStar filed a registration statement with the Commission that contained false and misleading statements concerning the compensation paid to its officers and directors, and the existence of an ongoing unregistered securities offering. Finally, NorthStar is alleged to have failed to file its required periodic reports with the Commission. According to the complaint: * Defendant NorthStar is a Washington corporation, headquartered in Dallas, Texas. During the relevant period, NorthStar purported to be an Internet service provider and computer company, and its common stock was traded on the Over the Counter Bulletin Board. * Defendant Buzzelli, a resident of Corinth, Texas, became president of NorthStar in October 1999, and served in that capacity until June 2000. Until the Texas Board of Public Accountancy revoked his license on March 22, 2001, Buzzelli was a Certified Public Accountant. * Defendant Dutton, a resident of Lake Hawkins, Texas, was NorthStar's Vice President of Business Development during Buzzelli's tenure as president. The complaint charges NorthStar, Buzzelli and Dutton with violations of Sections 5(a), 5(c) and 17(a) of the Securities Act of 1933, and Section 10(b) of the Securities Exchange Act of 1934 (Exchange Act) and Rule 10b- 5. The complaint additionally charges NorthStar with violations of Sections 13(a), and 13(b)(2) of the Exchange Act and Rules 13a-1 and 13a- 13, and Buzzelli with violations of Section 13(b)(5) of the Exchange Act and with aiding and abetting violations of Section 13(a) and 13(b)(2)(A) of the Exchange Act and Rules 13a-1 and 13a-13. In addition to permanent injunctive relief against each defendant, the complaint seeks an officer and director bar, an accounting, disgorgement plus prejudgment interest, and civil money penalties against Buzzelli and Dutton. The complaint also seeks disgorgement from Dutton's wife who was named solely as a relief defendant. Simultaneously with the filing of the complaint, NorthStar, without admitting or denying the Commission's charges, consented to the entry of a permanent injunction enjoining it from further violations of the securities registration, antifraud, reporting, and books and records provisions of the federal securities laws. Further, in a separate Commission administrative proceeding, NorthStar consented to an order revoking the registration of its common stock. [SEC v. NorthStar Network, Inc., Timothy J. Buzzelli and David Dutton, Defendants, and Sheila Dutton, Relief Defendant, USDC/NDTX/Dallas Division, Civil Action No. 3:02-CV-1788-M] (LR-17695) SEC OBTAINS $4.5 MILLION JUDGMENT AGAINST SOUTHERN CALIFORNIA MAN RUNNING OVERSEAS INVESTMENT SCAM On July 22, 2002, the Securities and Exchange Commission was awarded judgment in the amount of $4,498,634 against John C. Willy, Jr., a resident of San Bernardino, California, for his fraudulent offer and sale of unregistered securities in a nonexistent overseas investment program promising profits of 100% per month. Final judgment was entered against Willy by the Honorable Virginia A. Phillips, United States District Judge for the Central District of California, Eastern Division, pursuant to the Court's order of July 10, granting in full the Commission's motion for summary judgment. In addition to ordering disgorgement of $2,403,634 in ill-gotten gains, including interest, the Court assessed the maximum penalty allowed by law of $2,095,000 for Willy's violations of the securities registration and antifraud provisions of Sections 5(a), 5(c) and 17(a) of the Securities Act of 1933 and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder, and permanently enjoined him from further violations of the antifraud and registration provisions of the federal securities laws. Willy offered and sold more than $4.5 million of unregistered securities to two investor groups on behalf of Temperance Investments Ltd., a Gibraltar company. Willy, a Temperance director, represented to the investors that Temperance would place investor monies in a "high yield investment program" earning profits of 100% per month. In fact, the purported investment program did not exist. Instead, investor monies were transferred to a series of bank and brokerage accounts managed and controlled by Willy and misappropriated by Willy for his personal use. [SEC v. John C. Willy, Jr., Civil Action No. EDCV 01-00979-VAP (SGLx)] (LR-17693) FEDERAL COURT ENTERS INJUNCTION AND CONTINUES FREEZE ON DEFENDANTS' ACCOUNTS IN EMERGENCY SEC ENFORCEMENT ACTION On August 16, the Commission obtained a preliminary injunction against two repeat securities violators -- eConnect and Thomas S. Hughes, eConnect's CEO -- and one of eConnect's major shareholders. The Honorable Nora M. Manella, United States District Judge for the Central District of California, issued the preliminary injunction order and continued an asset freeze against eConnect on its illegal profits obtained from violating the federal securities laws. The Commission's complaint, filed on August 7, 2002, charged Hughes and eConnect in connection with a scheme to artificially inflate eConnect's stock price using false press releases and false statements on its websites. The Commission had previously sued both eConnect, based in San Pedro, CA (trading symbol: ECNT), and Hughes, age 54, of Rancho Palos Verdes, CA in 2000 for issuing false press releases. The Commission's recent complaint alleges that since July 10, 2002, Hughes and eConnect have issued false and misleading press releases and posted false statements on eConnect's websites. Among other things, the statements misrepresented a purported $20 million investment in "AA" rated bonds eConnect claimed to have received, a stock repurchase program it claimed to have initiated, and a purported $964,000 purchase order for its key product (the eCashPad) it claimed to have received. The misrepresentations caused the price and trading volume of eConnect's stock to increase by over 500 percent. As a result of this conduct, the Commission suspended trading in eConnect stock on July 25, 2002. The Commission's complaint also charged that two major shareholders -- Richard Epstein of Tampa, Florida and his company, Alliance Equities, Inc, of Coral Springs, Florida -- failed to report their recent sales of over 74 million eConnect shares although they were required to do so by the federal securities laws. Epstein and Alliance Equities obtained over $770,000 in profits from those trades, which the Court also froze in its preliminary injunction order. The Commission charged Hughes and eConnect with securities fraud pursuant to Section 10(b) of the Securities Exchange Act of 1934, 15 U.S.C. 78j(B), and Rule 10b-5 thereunder, 17 C.F.R. 240.10b-5, and charged Hughes, Epstein and Alliance with failing to report to the Commission certain transactions in eConnect's stock pursuant to Sections 13(d) and 16(a) of the Exchange Act, 15 U.S.C. 78m(d) and 78p(a), and Rules 16a-3, 13d-1 and 13d-2, 17 C.F.R. 240.16a-3, 13d-1 and 13d-2. The Commission seeks disgorgement of trading proceeds and civil penalties against eConnect and Epstein, and civil penalties and an officer and director bar against Hughes. In a related proceeding, Hughes was arrested on August 7, 2002 by the Federal Bureau of Investigation after the U.S. Attorney's Office for the Central District of California filed a criminal complaint against Hughes on August 7, 2002 that charged Hughes with securities fraud and criminal contempt. This case is the product of an investigation by the Securities and Exchange Commission, the United States Attorney's Office in Los Angeles, and the Federal Bureau of Investigation, which received assistance from NASD Regulation, Inc. Cal.] (LR-17694) INVESTMENT COMPANY ACT RELEASES THE PHOENIX EDGE SERIES FUND, ET AL. An order has been issued on an application filed by The Phoenix Edge Series Fund (Fund), Phoenix Investment Counsel, Inc. (PIC), Phoenix- Aberdeen International Advisors, LLC (PAIA), Duff & Phelps Investment Management Co. (DPIM) and Phoenix Variable Advisors, Inc.
