SEC NEWS DIGEST Issue 2006-107 June 5, 2006 COMMISSION ANNOUNCEMENTS ANDREW VOLLMER NAMED SEC DEPUTY GENERAL COUNSEL The Commission announced today the selection of Andrew N. Vollmer to serve as the agency's Deputy General Counsel. Mr. Vollmer, 52, is a partner in the international law firm of Wilmer Cutler Pickering Hale and Dorr LLP and has decades of experience handling securities law and enforcement matters. He currently serves as Vice Chair of the firm's Securities Department and previously served as one of two partners managing the firm's London office. He frequently has spoken and written on securities law and related matters, is co-author of a monograph on "Internal Corporate Investigations" and has been a regular speaker on SEC and internal investigations at the Stanford Directors' College. The SEC's General Counsel, Brian Cartwright, said, "Andy will be a powerful advocate for the individual investor. He brings a keen intellect and broad and deep experience to the task of investor protection. His strong management background will help us all work together efficiently and effectively. His combination of expertise and judgment makes him exceptionally well qualified to serve this Office, the Commission and investors everywhere. I am delighted he will be joining us." (Press Rel. 2006-86) JEFFREY RISINGER DESIGNATED ACTING EXECUTIVE DIRECTOR Securities and Exchange Commission Chairman Christopher Cox today announced the selection of Jeffrey Risinger as the agency's Acting Executive Director. Mr. Risinger replaces Jim McConnell, who retired from the agency Friday following 20 years of SEC service. Mr. Risinger joined the agency in 2005 as Director of Human Resources and has led efforts to improve the strategic human capital management of the agency. Previously, Mr. Risinger served as Deputy Associate Director at the U.S. Office of Personnel Management. Chairman Cox said, "I am delighted that Jeff has agreed to take on this important role. His experience in human resource management, workforce planning, performance management, and government affairs will be exceptionally valuable to the Commission in this new capacity." Mr. Risinger holds a Master's Degree in Business Administration and a Bachelor of Science Degree in Psychology from Texas A&M University. Mr. Risinger also holds a Master's Degree in Human Resource Management from Louisiana Tech University. ((Press Rel. 2006-87) ENFORCEMENT PROCEEDINGS COMMISSION INSTITUTES ADMINSTRATIVE PROCEEDINGS PURSUANT TO COMMISSION RULE OF PRACTICE 102(e) AGAINST JAMES MCCURDY On June 2, the Commission issued an Order Instituting Public Administrative Proceedings Pursuant to Rule 102(e) of the Commission's Rules of Practice and Notice of Hearing (Order) against James T. McCurdy (McCurdy), alleging that McCurdy engaged in improper professional conduct in his role as concurring review partner on three mutual fund audits. In the Order, the Division of Enforcement (Division) and the Office of the Chief Accountant (OCA) allege that McCurdy, formerly a partner of the accounting firm McCurdy & Associates CPAs, Inc. (McCurdy & Associates) engaged in improper professional conduct in connection with his firm's audit of the financial statements of the Liquid Green Money Market Fund (Liquid Green) for the fiscal year ended September 30, 2001, and the firm's audits of the financial statements of the Florida Street Bond Fund (Florida Street) for the fiscal years ended October 31, 1999 and October 31, 2000. The Division and the OCA further allege that, during the 2001 Liquid Green audit, McCurdy became aware that more than half of the securities in the fund's portfolio had stated maturity dates exceeding the 397 day period set forth in Rule 2a-7 under the Investment Company Act of 1940, but nevertheless he did not assure that the engagement partner performed audit procedures to determine whether the securities were in fact eligible for a money market fund. As a result, McCurdy failed to detect that the fund's financial statements and related notes contained material misrepresentations, including that Liquid Green was a "money market fund" and that it was proper for the fund to use the amortized cost method to value its portfolio securities. Because he did not require the engagement partner to audit Liquid Green's financial statements properly, and did not do so himself, McCurdy allowed his firm to issue an audit report with an unqualified opinion falsely representing that Liquid Green's financial statements fairly presented the fund's financial position in conformity with generally accepted accounting principles (GAAP) and that McCurdy & Associates had conducted its audit in accordance with generally accepted auditing standards (GAAS). With respect to the Florida Street audits, the Division and the OCA allege that McCurdy assigned two inexperienced auditors as engagement partners and designated himself as the concurring review partner for both the 1999 and 2000 Florida Street audits. Because McCurdy did not require the engagement partner in 1999 to audit Florida Street's statements properly, and did not do so himself, he failed to detect that the fund was continuing to accrue and carry interest for bonds that had missed interest payments, were in default, or had previously been sold and were no longer held by the fund, that the fund's interest receivable balance was overstated, and that, as a result, Florida Street's financial statements were not fairly presented in conformity with GAAP. After Florida Street's interest accounting problems came to light during the 2000 Florida Street audit, McCurdy allowed his firm to issue an audit report with an unqualified audit opinion on Florida Street's financial statements even though they failed to disclose the overstated interest receivable and the resulting repricing, interest write-offs and return of capital to shareholders. A hearing will be scheduled before an administrative law judge to determine whether the allegations contained in the Order are true, to provide McCurdy with an opportunity to dispute the allegations, and to determine whether McCurdy should be censured by the Commission or temporarily or permanently denied the privilege of appearing or practicing before the Commission. The Order requires the Administrative Law Judge to issue an initial decision no later than 300 days from the date of service of this Order, pursuant to Rule 360(a)(2) of the Commission's Rules of Practice. (Rel. 34-53936; AAE Rel. 2436; File No. 3-12322) SEC FILES SETTLED ACTION AGAINST MAJOR AUSTRIAN BANK FOR AIDING AND ABETTING REFCO FRAUD The Commission today announced that on June 5 it filed a settled civil injunctive action in U.S. District Court for the Southern District of New York against BAWAG P.S.K. Bank für Arbeit und Wirtschaft und Österreichische Postsparkasse Aktiengesellschaft (BAWAG). The Commission's Complaint in that action alleges that BAWAG, a major Austrian bank, helped Refco Group Ltd. (Refco) conceal hundreds of millions of dollars in debt owed to Refco by an entity controlled by Refco's Chief Executive Officer, thereby aiding and abetting Refco's violations of the antifraud and periodic reporting provisions of the federal securities laws. The Commission's Complaint alleges that, from at least February 2000 into 2005, BAWAG engaged in a series of fiscal year-end transactions with Refco and Refco Group Holdings, Inc. designed to conceal the real condition of Refco's balance sheet. In spite of its name, Refco Group Holdings Inc. (RGHI) was never a Refco subsidiary, but instead was an entity controlled by, and eventually completely owned by, Phillip R. Bennett, Refco's Chairman and Chief Executive Officer. Accordingly, the RGHI receivables were related party transactions on Refco's books, and the fiscal year-end transactions aided a scheme by Refco and Bennett to move the related party receivables off Refco's books at the end of each fiscal year. The Commission's Complaint further alleges that the scheme utilized a series of short-term loans to shift the receivables temporarily to BAWAG just before the end of February each year. (Refco's fiscal year-end was the end of February.) At the end of each Refco fiscal year, the short-term loans allowed RGHI to pay off at least part of its debt to Refco. RGHI then owed a debt to BAWAG, which was secured in part by a deposit from Refco to an account at BAWAG. A few days after the Refco fiscal year-ends, the transactions were reversed so that the debt once again resided with the Bennett- controlled entity. The Commission's Complaint also alleges that Refco made certain representations to investors and filings with the Commission that failed to disclose the RGHI receivables, including: a private offering circular used by Refco to sell senior subordinated notes in connection with a 2004 leveraged recapitalization; a Registration Statement filed with the Commission that Refco used to offer those notes publicly in April 2005; an Annual Report that Refco filed with the Commission for Refco's fiscal year ended Feb. 28, 2005; and a Registration Statement filed with the Commission that Refco used to make its initial offering of common stock in August 2005. The federal securities laws required that each of those Refco representations and filings disclose the RGHI related party receivables. (After the August 2005 offering of common stock, Refco Inc. became the corporate successor to Refco Group Ltd. On Oct. 17, 2005, Refco filed for protection under Chapter 11 of the U.S. Bankruptcy Code.) Finally, the Commission's Complaint alleges that BAWAG had additional connections with Refco, including, for a period of time, an equity interest in Refco. Partly as a result of those connections, and while assisting Refco with its fiscal year-end transactions, former BAWAG executives understood, from at least 2002 through 2004, that Refco had misstated its balance sheet, that Bennett and BAWAG intended to cash out their Refco ownership positions, and that concealment of the RGHI receivables would increase the likelihood of Refco being sold. By the time of the February 2005 year-end transactions, the former executives knew that Refco would file a Registration Statement with the Commission for its senior subordinated notes and that the Registration Statement would not disclose the related party receivables. Accordingly, the Complaint alleges, by assisting in the fiscal year- end fraudulent scheme, BAWAG knowingly aided and abetted Refco in its deception of investors who purchased Refco securities. Without admitting or denying the allegations in the Commission's Complaint, BAWAG consented to the entry of a Final Judgment that will permanently enjoin it from violating the antifraud provisions, and from aiding and abetting violations of the periodic reporting provisions, of the federal securities laws. In a related action, the U.S. Attorney's Office for the Southern District of New York announced today that it had entered into an agreement with BAWAG not to prosecute the bank for its role in assisting Bennett in his scheme to hide the RGHI receivables and that, in connection with that agreement, BAWAG would forfeit $337.5 million, which funds will be distributed to victims of the Refco fraud. The Office also announced that BAWAG would pay at least $675 million (including the forfeited $337.5 million) to settle its non-prosecution agreement and related claims against it by the Refco bankruptcy estate. The Commission's investigation is continuing. The Commission acknowledges the assistance and cooperation of the Office of the United States Attorney for the Southern District of New York, the United States Postal Inspection Service, and the Commodity Futures Trading Commission. MARION SHERRILL The Commission announced that on May 26, 2006, the Honorable Beverly B. Martin, United States District Judge for the Northern District of Georgia, entered a Final Judgment As To Defendant Marion D. Sherrill (Sherrill). The judgment enjoined Sherrill from future violations of Section 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder. Sherrill consented to the entry of the judgment without admitting or denying the allegations of the Commission's Complaint. The court ordered Sherrill to pay disgorgement, prejudgment interest and a civil penalty in the amounts of $381,400, $17,183 and $25,000, respectively, provided that the amounts ordered as disgorgement and interest will be reduced by any amount ordered as restitution in Sherrill's related criminal case. The Complaint, filed on Feb. 9, 2005, alleged that, from approximately May 2003 through Jan. 26, 2005, Sherrill, a registered representative of an Atlanta-based broker-dealer, perpetrated a Ponzi scheme, selling over $400,000 of promissory notes to at least nineteen investors. Under the terms of these notes, Sherrill "borrowed" from his investors principal amounts ranging from $4,400 to $41,000, in exchange for a promise that he would pay monthly interest of 10% per annum and return to them the note's principal at the end of the note's term of either twelve or twenty-four months. Contrary to his representations to some investors, Sherrill did not use investor funds to expand his business operations or to purchase mutual funds. Instead, he deposited most, if not all, of the note proceeds into his personal bank account, combined those proceeds with his own money, and paid his living expenses and various operating expenses of his business from the balance. Sherrill did not disclose to the investors that he paid their monthly interest by using money from new investors and that lacked the capacity to repay the principal without raising new investments.
