SEC NEWS DIGEST Issue 2005-246 December 23, 2005 RULES AND RELATED MATTERS SEC PROPOSES TO AMEND THE RULES ALLOWING A FOREIGN PRIVATE ISSUER TO EXIT THE EXCHANGE ACT REPORTING SYSTEM Today the Commission issued a release proposing to amend the rules that allow a foreign private issuer to exit the Exchange Act reporting system. The Commission is proposing new Exchange Act Rule 12h-6, which would allow a foreign private issuer to: o terminate its registration of a class of equity securities under Exchange Act section 12(g) and its resulting section 13(a) reporting obligations or terminate, and not merely suspend, its section 15(d) reporting obligations regarding a class of equity securities as long as the issuer meets specified criteria designed to measure U.S. market interest for that class of securities; and o terminate, and not merely suspend, its section 15(d) reporting obligations regarding a class of debt securities as long as it meets conditions similar to the current requirements for suspending its reporting obligations relating to that class of debt securities. Proposed Rule 12h-6 would permit an eligible foreign private issuer to terminate its Exchange Act registration and reporting obligations regarding a class of equity securities if it met one of a set of alternative benchmarks, which are not based on a record holder count, and which would depend on whether the issuer is a well-known seasoned issuer: o If the issuer is a well-known seasoned issuer, either: o the U.S. average daily trading volume of the subject class of securities has been no greater than 5 percent of the average daily trading volume of that class of securities in its primary trading market and U.S. residents held no more than 10 percent of the issuer's worldwide public float; or o regardless of U.S. trading volume, U.S. residents held no more than 5 percent of the issuer's worldwide public float. o If the issuer is not a well-known seasoned issuer, regardless of U.S. trading volume, U.S. residents held no more than 5 percent of the issuer's worldwide public float. Today's proposal also would apply the exemption under Exchange Act Rule 12g3-2(b) to a foreign private issuer immediately upon its termination of Exchange Act registration and reporting regarding a class of equity securities. Under the exemption, however, a foreign private issuer would have to publish in English the home country materials required by Rule 12g3-2(b) on its Internet web site or through an electronic information delivery system that is generally available to the public in its primary trading market. It is intended that a foreign private issuer that regularly posts corporate information on its web site would be able to maintain this exemption. An Administrative Law Judge has issued an Initial Decision in the matter of MarketXT, Inc. The Initial Decision concludes that Respondent Irfan Mohammed Amanat (Amanat) did not execute thousands of fraudulent wash trades and matched orders in order to improperly qualify MarketXT, Inc. (MarketXT), for a tape revenue rebate program offered by the NASDAQ Stock Market, Inc. The Initial Decision concludes that Amanat did not willfully violate Section 10(b) of the Securities Exchange Act of 1934 (Exchange Act) and Rule 10b-5 thereunder, and did not willfully aid and abet or cause MarketXT to violate Section 15(c)(1)(A). The Initial Decision dismisses all charges against Amanat. (Initial Decision No. 304; File No. 3-11813) IN THE MATTER OF MICHAEL S. deVEGTER On December 22, the Commission filed a settled administrative and cease-and-desist order against Michael S. deVegter, finding Mr. deVegter failed to disclose that he provided assistance to an investment bank that was one of the bidders to be senior managing underwriter for a bond offering issued by Fulton County, Georgia. The Commission ordered Mr. deVegter to pay disgorgement and pre- judgment interest of $64,443.69, to be barred from association with any broker, dealer, investment company, investment adviser, or municipal securities dealer, and to cease and desist from committing or causing any violations and any future violations of Section 17(a) of the Securities Act, Section 10(b) of the Exchange Act, and Rule 10b-5 thereunder. deVegter consented to the issuance of the Order without admitting or denying any of the findings in the Order. On Nov. 20, 1997, the SEC filed a civil injunctive action against Michael S. deVegter, James E. Eaton, and Richard P. Poirier, Jr. See Litigation Release No. 15565 (Nov. 20, 1997). Mr. Eaton simultaneously settled his action with the SEC. On May 5, 1998, the SEC dismissed its civil injunctive action against Mr. deVegter and Mr. Poirier without prejudice. Pursuant to this settlement, the Commission will dismiss - as to Mr. deVegter only - its civil injunctive action with prejudice. The Division of Enforcement alleges that Breed was permanently enjoined from future violations of antifraud and other provisions of the securities laws based on insider trading (SEC v. Robert Breed, et al., Civil Action Number 01 Civ. 7798, in the United States District Court for the Southern District of New York). A hearing will be scheduled before an administrative law judge to determine whether the allegations in the Order are true, to provide Breed with an opportunity to dispute the allegations, and to determine what, if any, remedial action is appropriate and in the public interest pursuant to Section 15(b) of the Exchange Act. The Order requires the Administrative Law Judge to issue an initial decision no later than 210 days from the date of service of this Order, pursuant to Rule 360(a)(2) of the Commission's Rules of Practice. No. 17107 (Aug. 21, 2001). SEC BRINGS SETTLED ENFORCEMENT ACTION AGAINST KENNETH R. LECRONE, CPA On December 22, the Commission issued an Order Instituting Public Administrative and Cease-and-Desist Proceedings Pursuant to Section 8A of the Securities Act of 1933, Section 21C of the Securities Exchange Act of 1934, and Rule 102(e) of the Commission's Rules of Practice, Making Findings, and Imposing Remedial Sanctions, and a Cease-and- Desist Order against Kenneth R. LeCrone (LeCrone), a certified public accountant licensed in Colorado. The Commission found that LeCrone, in connection with audits of the financial statements of Sport-Haley, Inc. for 1998, 1999, and 2000 fiscal years, caused Sport-Haley to file materially false and misleading quarterly and annual reports with the Commission that materially misrepresented the company's income, work- in-process (WIP) inventory, period costs, and discontinued headwear operations. The Commission found that LeCrone was reckless in not knowing that certain financial accounting and reporting practices were improper and assisted in carrying out those practices. The Commission also found that LeCrone, through his accounting firm, issued audit reports containing unqualified opinions on Sport-Haley's financial statements even though he was reckless in not knowing the company's 1998 and 1999 financial statements were materially misstated. Without admitting or denying the findings in the Commission's order, LeCrone consented to the issuance of an order requiring that he cease and desist from committing or causing any violations and any future violations of Section 17(a) of the Securities Act, Section 10(b) of the Exchange Act and Rule 10b-5 promulgated thereunder; and from causing any violations and any future violations of Section 15(d) of the Exchange Act. The order denies LeCrone the privilege of appearing or practicing before the Commission as an accountant based on a finding that he willfully violated, or willfully aided and abetted the violation of Federal securities laws within the meaning of Rule 102(e)(1)(iii) of the Commission's Rules of Practice. LeCrone may request that the Commission consider his reinstatement after two years. (Rel. 33-8647; 34-53012; AAE Rel. 2358; File No. 3-12134) VERAS HEDGE FUNDS AND THEIR ADVISERS AGREE TO PAY $37 MILLION TO SETTLE MARKET TIMING AND LATE TRADING CHARGES On December 22, the Commission instituted and settled public administrative and cease-and-desist proceedings against two hedge funds, Veras Capital Master Fund (VCM), VEY Partners Master Fund (VEY), their investment adviser, Veras Investment Partners, LLC, (VIP), and its managing members, Kevin D. Larson (Larson) and James R. McBride (McBride) (collectively "Veras") for engaging in a fraudulent scheme to market time and late trade mutual fund shares. In its Order Instituting Proceedings (Order), the Commission found that from January 2002 through September 2003, Veras used deceptive techniques to continue market timing in mutual funds that previously had detected and restricted, or that otherwise would not have permitted, its trading. The Commission's Order also found Veras traded mutual fund shares after 4:00 p.m. Eastern Time and received the same day's price. The Commission's Order found that by virtue of this conduct, Veras caused violations of and willfully violated and aided and abetted violations of the antifraud and mutual fund pricing provisions of the federal securities laws. The Commission's Order also found that as a result of Veras' conduct, the value of the mutual funds was diluted, in the aggregate, by approximately $35.5 million. Without admitting or denying the Commission's findings, VCM, VEY, VIP, Larson, and McBride consented to the entry of cease-and-desist orders against them and agreed to pay $35,554,903 in disgorgement and $645,585 in prejudgment interest. Larson and McBride also agreed to each pay a $750,000 civil penalty and consented to be barred from association with any investment adviser and to be prohibited from serving or acting as an employee, officer, director, member of an advisory board, investment adviser or depositor of, or principal underwriter for, a registered investment company or affiliated person of such investment adviser, depositor, or principal underwriter, with the right to reapply for association in all capacities after eighteen months. This enforcement action has been coordinated with The Office of the New York State Attorney General and the Commodity Futures Trading Commission. (Rels. 33-8646; 34-53011; IA-2466; IC-27197; File No. 3- 12133; Press Rel. 2005-182) PRIME BANK FRAUD PARTICIPANT PLEADS GUILTY TO PERJURY DURING SEC LITIGATION On Nov. 28, 2005, William Whelan, of Visalia, California, entered a plea of guilty to three counts of perjury in the United States District Court for the Eastern District of California. Whelan was named in a seven count indictment charging him with perjury, obstruction of justice and providing false statements in connection with a deposition provided to the Commission in the SEC v. Cook matter. [Lit. Rel. No. 19295/June 7, 2005]. The SEC v. Cook case involved an emergency action brought by the Commission in March 1999 to halt an ongoing Ponzi scheme centered around the offer and sale of non-existent prime bank securities issued by Dennel Finance Limited. After obtaining a TRO to halt the Dennel scheme, the Commission staff learned that certain individuals affiliated with Dennel were conducting a nearly identical fraud under a new name, Resource Development International, LLC. The Commission brought a second emergency action in March 2002 against Resource Development and others to end the related scheme, alleging that the defendants raised approximately $98 million from more than 1300 investors nationwide using fraudulent statements regarding the purported investment in bank trading programs and annual rates of return of 48 to 120 percent. William Whelan was not a defendant in the SEC v. Cook matter, but was named as a defendant in the SEC v. Resource Development litigation. Whelan, a licensed insurance agent, was sued by the Court-appointed Receiver in the SEC v. Cook case after he was identified as "facilitator" who received commissions from the offer and sale of the fraudulent Dennel program. The Commission and Receiver jointly deposed Whelan in SEC v. Cook in August 2000 and Whelan was questioned about his involvement in other high-yield, prime bank programs, including, specifically, the Resource Development program. In the plea agreement, Whelan admits that, during his deposition, he testified falsely numerous times about his role in the Resource Development program. Whelan testified that he had never received any commissions for offering or selling any high-yield bank debenture-type program other than the Dennel program. Whelan further testified that he had never seen documents relating to the Resource Development program. In addition, Whelan testified that he had never heard of an entity called "Resource Development." In the plea agreement, Whelan admits that, contrary to his testimony, he had, in fact, been offering and selling the fraudulent Resource Development program for several months prior to his testimony, had received commissions for selling the Resource Development investment, and had utilized the documents disseminated by Resource Development in the course of selling the program. The three perjury counts subject Whelan to a potential prison sentence of as many as 15 years and a potential fine of as much as $750,000. No sentencing date has been scheduled. [SEC v. William Whelan, Criminal Action No. 05CR00226OWW, USDC, EDCA] (LR-19512) SEC OBTAINS EMERGENCY RELIEF AGAINST ALLIED CAPITAL MANAGEMENT, INC. AND SHEA SILVA The Commission announced today that it filed a civil action in the U.S. District Court for the Central District of California against Shea Silva of Costa Mesa, California, and Allied Capital Management, Inc. (Allied), a California corporation under his control, for violations of the antifraud and registration provisions of the federal securities laws. On the Commission's application, the Court issued a Temporary Restraining Order; Order Freezing Assets, and Prohibiting the Destruction of Documents; and Order to Show Cause why a Preliminary Injunction Should Not Issue (Order). In its Complaint, the Commission alleges that from approximately November 2001 through the present, Silva, Allied, and two defunct entities known as Sunrise Energy, Inc. and Blue Marlin Energy, Inc., defrauded investors of over $5 million through the sale of unregistered securities. The securities were purportedly sold to invest in oil and gas operations. According to the Complaint, Silva, Allied, and others acting at their direction engaged in high pressure cold call campaigns and solicited investments from hundreds of individuals nationwide. However, the defendants misrepresented the nature of the investments, the risks involved in the investments, and the potential return on the investments. The Commission also alleges that Silva misappropriated a large portion of investor funds and acted as an unregistered broker-dealer. The Complaint claims that, through these activities, Silva and Allied violated Sections 5(a), 5(c) and 17(a) of the Securities Act of 1933, Sections 10(b) and 15(a) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder. Among other things, the Court's Order prohibits the defendants, pending a hearing, from disposing of any assets and prohibits financial institutions holding the defendants' assets from allowing any withdrawals. The Order also requires that the defendants notify the Court of each account they hold with a financial or brokerage institution. [SEC v. Allied Capital Management, Inc. and Shea Silva, Case No. CV05-8800-GPS (JTLx) (C.D. Cal.)] (LR-19513) SEC CHARGES MARTEK EXECUTIVE WITH INSIDER TRADING On December 22, the SEC filed civil insider trading charges against Gregory N. Champe, an executive of Martek Biosciences Corporation, a publicly-traded company headquartered in Columbia, Maryland. The SEC's Complaint, which was filed with the United States District Court for the District of Columbia, alleges that after the close of the market on April 27, 2005, Martek announced publicly that it expected revenues for the next two quarters to be significantly lower than previously forecast. The closing price of Martek's common stock plummeted on this news from $60 per share on April 27 to $32.50 on April 28, 2005, a one day stock drop of 46 percent. According to the Complaint, Champe sold 2,600 shares of Martek common stock on April 26 -- the day before the negative news announcement -- on the basis of material, nonpublic information concerning the company's revenue forecast, thereby avoiding a loss of $71,552. Without admitting or denying the allegations of the Complaint, Champe consented to a final judgment permanently enjoining him from violations of Section 10(b) of the Securities Act of 1934 and Rule 10b-5 thereunder and ordering that he pay $54,825 in disgorgement. The proposed final judgment does not impose any additional monetary sanctions based upon Champe's demonstrated inability to pay. [SEC v. Gregory N. Champe, Case No. 1:05CV02445 (Friedman, J.) D.D.C] (LR-19514) HEDGE FUND MANAGER PLEADS GUILTY TO INVESTMENT ADVISER FRAUD The Commission announced today that on Dec. 21, 2005, Scott R. Sacane, age 39, of Weston, Connecticut, plead guilty to a one-count information charging him with investment adviser fraud in a case being prosecuted by the United States Attorney's Office in New Haven, Connecticut. On Oct. 12, 2005, the Commission sued Sacane and others, alleging that they manipulated the stock of Aksys, Ltd., and Esperion Therapeutics, Inc. Sacane's guilty plea stems from the same conduct that formed the basis of the Commission's civil enforcement action. In particular, the Information filed by the U.S. Attorney's Office charged that Sacane was an investment adviser to the Durus Life Sciences Fund, LLC, Durus Life Sciences International Fund, Ltd., and Durus Life Sciences Master Fund, Ltd. (collectively, Durus Funds). The Information further charged that Sacane knowingly and willfully inflated the value of the Durus Funds, thereby garnering increased management fees and performance incentive fees to which he was not entitled. The U.S. District Court for the District of Connecticut scheduled sentencing for April 28, 2006, at 10:00 a.m. Sacane faces a maximum sentence of 5 years imprisonment and a fine of $250,000. [U.S. v. (U.S. District Court for the District of Connecticut, Civil No. 3:05cv1575-SRU] (LR-19515) SELF-REGULATORY ORGANIZATIONS IMMEDIATE EFFECTIVENESS OF PROPOSED RULE CHANGES The Chicago Board Options Exchange filed a proposed rule change (SR- CBOE-2005-108) relating to a session fee increase for the Regulatory Element of the Continuing Education Requirements of CBOE Rule 9.3A. The proposed rule change has become immediately effective on filing under Section 19(b)(3)(A) of the Securities Exchange Act of 1934.
