SEC NEWS DIGEST Issue 2005-186 September 27, 2005 COMMISSION ANNOUNCEMENTS SEC CHAIRMAN ANNOUNCES FIRST NATIONAL ‘CCOutreach’ SEMINAR On September 26, Securities and Exchange Commission Chairman Christopher Cox announced that the agency’s first CCOutreach Program National Seminar for mutual fund and investment adviser Chief Compliance Officers—CCOs—will be Nov. 8, 2005, at the Commission’s Washington, D.C., headquarters. The CCOutreach program aims to protect investors by enhancing communication and coordination with CCOs and helping CCOs do their vital jobs. “With almost half of all U.S. households now invested in mutual funds, insuring compliance with SEC standards is more important than ever before,” said Chairman Cox. “Robust and effective mutual fund and investment adviser compliance is critical to public confidence. CCOs hold the keys to success for the 92 million Americans who own mutual funds. The SEC is committed to helping CCOs excel.” The National Seminar follows a series of regional seminars held by Commission examination staff. The regional seminars focused on the “nuts and bolts” of the examination process and the SEC resources available to help. The National Seminar will include panel discussions with SEC staff and CCO representatives on the latest policy developments relevant to CCOs and will address questions raised at the regional seminars and elsewhere. (Press Rel. 2005-136) FEE RATE ADVISORY #2 FOR FISCAL YEAR 2006 When fiscal year 2006 starts on Oct. 1, 2005, the Securities and Exchange Commission may be operating under a continuing resolution. In that event, fees paid under Section 6(b) of the Securities Act of 1933 and Sections 13(e), 14(g) and 31 of the Securities Exchange Act of 1934 will remain at their current rates. Five days after the date of enactment of the Commission's regular fiscal year 2006 appropriation, the Section 6(b) fee rate applicable to the registration of securities, the Section 13(e) fee rate applicable to the repurchase of securities, and the Section 14(g) fee rate applicable to proxy solicitations and statements in corporate control transactions will decrease from the current rate of $117.70 per million to $107.00 per million, as previously announced. In addition, thirty days after the date of enactment of the Commission's regular appropriation, the Section 31 fee rate applicable to securities transactions on the exchanges and in the over-the-counter markets will decrease from the current rate of $41.80 per million to $30.70 per million, as previously announced. These notices will be posted at the SEC's Internet web site at http://www.sec.gov. (Press Rel. 2005-137) ENFORCEMENT PROCEEDINGS IN THE MATTER OF METROPOLITAN MORTGAGE & SECURITIES CO., INC. On September 26, the Commission filed civil fraud charges against former executives and third party business associates of Metropolitan Mortgage and Securities Co., Inc., a long-standing Spokane, Wash., finance and real estate company that collapsed in 2004. Metropolitan filed for bankruptcy in February 2004, devastating nearly 10,000 investors throughout the Pacific Northwest who had invested approximately $450 million in the once high-flying real estate company. The SEC’s civil complaint, filed in the Western District of Washington (Seattle), alleges that Metropolitan’s management falsified the company’s 2002 financial results by reporting profits from circular real estate sales where Metropolitan purported to sell property to buyers who, in fact, received all of the money to pay for the purchase from Metropolitan or its affiliates. The fraud made Metropolitan appear profitable – facilitating further sales of its bonds and preferred stock to investors – when in reality the company was encountering its third straight year of mounting losses and verging on financial collapse. Named in the complaint are former Chief Executive Officer C. Paul Sandifur, Jr., 63, of El Centro, Calif.; former executive Thomas G. Turner, 54, of Sparks, Nev.; and former Controller Robert Ness, 41, of Bellevue, Wash.; as well as former Vice President Thomas R. Masters, 54, of Spokane, Wash., who is alleged to have participated in one of the fraudulent transactions. According to the Commission’s complaint, the bogus deals – known internally as “rabbits” (as in, pulling a rabbit out of a hat) – all materialized in the final days of Metropolitan’s fiscal year 2002, allowing the company to report a profit rather than the loss it had anticipated. In the largest of these deals, Metropolitan reported a $10 million gain by completely financing the purchase of property by customer Trillium Corporation, a private company based in Bellingham, Wash. In order to evade accounting principles prohibiting companies from reporting profits from such sales, Metropolitan and Trillium agreed to make it appear that the property was being purchased by an unrelated third party, Jeff Properties – in reality a shell company set up by an eighteen year old high school student, the son of a Trillium creditor, in exchange for a motorcycle. In addition to charges against Metropolitan’s officers, the Commission’s complaint levels fraud charges against Trillium, its President and CEO David Syre, 64, of Bellingham, Wash., and Trillium creditor Dan Sandy, 50, of Rochester, Wash. Among other claims, the Commission’s complaint alleges that by engaging in the conduct described above, each of the defendants committed or aided and abetted violations of the antifraud provisions of the federal securities laws and aided and abetted Metropolitan’s violations of reporting requirements. Specifically, the complaint alleges that Sandifur, Turner, Ness and Masters directly violated Section 17(a) of the Securities Act of 1933 and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder. The complaint also alleges that Sandy, Syre, Trillium, Turner, Ness and Masters aided and abetted Metropolitan’s violations of Section 10(b) of the Exchange Act and Rule 10b-5 thereunder. All of the defendants are alleged to have aided and abetted Metropolitan’s violations of the reporting requirements of Section 13(a) of the Exchange Act and Rules 12b-20 and 13a-1 thereunder, and Sandifur, Turner and Ness are also alleged to have aided and abetted Metropolitan’s violations of Rule 13a-13 under the Exchange Act. Further, Sandifur, Turner, Masters and Ness are alleged to have violated Section 13(b)(5) of the Exchange Act and Rule 13b2-1 thereunder, and aided and abetted Metropolitan’s violations of Sections 13(b)(2)(A) and 13(b)(2)(B) of the Exchange Act. The complaint alleges that Sandifur, Turner and Ness violated Exchange Act Rule 13b2-2, and that through their false certifications of Metropolitan’s 2002 year-end false financial statements, Sandifur and Ness violated Exchange Act Rule 13a- 14. Finally, the complaint charges Sandifur as a control person for Metropolitan’s violations of Sections 10(b), 13(a), 13(b)(2)(A) and 13(b)(2)(B) of the Exchange Act and Rules 10b-5, 12b-20, 13a-1 and 13a- 13 thereunder. The Commission’s action seeks civil monetary penalties and injunctive relief from all defendants, as well as disgorgement from Sandifur, Turner, Ness and Masters, and orders barring Sandifur, Turner and Ness from serving as officers or directors of public companies. Paul Sandifur, Jr., et al., United States District Court for the Western District of Washington, Civil Action No. CV 5 1631 C] (LR-19394; AAER- 2320) SEC CHARGES TWO PORTLAND, OREGON SECURITIES BROKERS WITH FRAUDULENT SALES PRACTICES On September 26, the Commission filed civil fraud charges against William Sears, 56, and his wife Patricia Jean Sears-Million, 50, former registered stock brokers who sold more than $35 million of stocks and bonds issued by Metropolitan Mortgage & Securities, Co. and a related company to their clients, many of whom were retired seniors residing in the Portland, Ore., area. The Sears are charged with selling inappropriate and risky securities issued by Metropolitan and a related entity, Summit Securities, to their elderly and risk-averse clients. Metropolitan filed for bankruptcy protection in February 2004, causing devastating losses to nearly 10,000 investors throughout the Pacific Northwest who had invested approximately $450 million in the company. According to the complaint, Sears and Sears-Million fraudulently induced their clients to invest in the high-risk securities of Metropolitan and Summit despite being aware that the securities carried a high risk of loss and were not suitable for elderly, unsophisticated investors seeking secure investments for retirement. The complaint also alleges that in order to persuade their clients to invest large amounts of their savings and retirement funds in Metropolitan and Summit securities, the Sears falsely misrepresented that the investments had little or no risk and were as safe as bank deposits. According to the Commission, Sears and Sears-Million falsified documents to make it appear that their customers had the net worth and risk tolerance to qualify for the speculative Metropolitan investments. The Commission’s civil complaint alleges that through their fraudulent sales practices, Sears and Sears-Million violated Section 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934, and Rule 10b-5 thereunder. The Commission seeks injunctive relief, civil monetary penalties, and disgorgement of ill-gotten gains. The Commission acknowledges the assistance of NASD in this matter. [SEC v. Ore.] (LR-19395) COMMISSION OBTAINS PRELIMINARY INJUNCTION AND ASSET FREEZE AGAINST INVESTMENT ADVISER ACCUSED OF MISAPPROPRIATING MILLIONS FROM CLIENTS The Commission announced today that the Massachusetts federal district court entered a preliminary injunction and asset freeze on September 21, against defendant Rajeev Johar in connection with a fraud action filed by the Commission against Entrust Capital Management, Inc., a Worcester, Mass.-based investment advisory firm, and its principal Amit Mathur. The court’s entry of preliminary injunction, which was consented to by the defendant, prohibits Johar, from engaging in future violations of the antifraud provisions of the Securities Act of 1933, the Securities Exchange Act of 1934, and the Investment Advisers Act pending the resolution of the Commission's action. The Preliminary Injunction also freezes Johar’s assets, limits his spending of newly acquired funds to $1,000 per week, requires him to submit an accounting of assets, and to return any funds sent overseas. The Commission’s amended complaint, filed on Sept. 14, 2005, alleges that beginning in October 2000, Entrust, through Mathur and Johar, raised more than $16 million from approximately twenty investors. The complaint alleges, however, that Entrust, Mathur and Johar dissipated nearly all of their clients’ assets through undisclosed trading losses in Entrust’s brokerage accounts, unauthorized use of investor funds to support Entrust’s operating expenses, and blatant misappropriation of client funds for personal use. The Commission’s complaint also alleges that Entrust, Mathur and Johar transferred at least $1 million in investor funds to AMR Realty. The Commission alleges AMR Realty has no legitimate interest in those funds and that it should not be allowed to retain them. The Court entered a temporary restraining order and asset freeze against Mathur and Entrust and an asset freeze against AMR Realty on April 12, 2005.
