Subject: Proposed Amendments to Rule 15c2-11(ref. file S7-5-99) Author: Roger Bryant Date: 4/5/99 6:00 PM As president and CEO of a company whose securities are traded on the OTC Bulletin Board, I am greatly opposed to the proposed amendments to Rule 15c2-11. Whereas the objectives of this proposal are well intended, I believe the practicality of the results would be devastating to the market for microcap companies. Why would legitimate market makers expose themselves to frivolous lawsuits every time the price of a stock failed to go up, just so they can help investors participate in the growth of up and coming companies and technologies. The market makers can simply stick with Fortune 500 companies and let the federal government shield them from unhappy shareholders, and let the country's future stars fend for themselves (or be gobbled up by the GM's of the world). Companies like ours spend a great deal annually on legal, accounting and filing fees to be in compliance with all SEC regulations. If you pass a ruling that exposes market makers to liability with microcap companies that they don't have with larger companies, you are not only unfairly discriminating against companies because of size, you are also signing a death order for the market for these securities. Current shareholders have had faith in the up and coming young companies who are the MicroSoft's and Intel's of tomorrow, but your ruling would cause those shareholders to be greatly disadvantaged (finding no market for their shares), and in many cases, forced to abandon the companies who need their support most (at a loss). Our shareholders deserve at least the same level of service and protection from their government that is afforded to those who have put their support behind Bill Gates. It is my believe that if you pass the proposed amendments you will snuff out many of the bright young stars that this country needs before they have a chance to shine. Being a financial giant, as a company or investor, should not be a prerequisite to benefiting from good government.
