Kim, currently a senior manager in Deloitte & Touche LLP's National Office Accounting Consultation Group based in San Francisco, Calif.; and * Josh K. Jones, currently a senior manager in Ernst & Young LLP's Atlanta, Ga., practice office. Ms. Kim and Mr. Jones will join the current professional accounting fellows - Joseph D. McGrath, Michael G. (Press Rel. 2006-44) ENFORCEMENT PROCEEDINGS PREMIUM FINANCIAL SERVICES & LEASING, INC., STOCK REGISTRATION REVOKED The registration of the stock of Premium Financial Services & Leasing, Inc., has been revoked. The company repeatedly failed to timely file required periodic reports with the Securities and Exchange Commission. Thus, it violated a crucial provision of the federal securities laws that requires public corporations to publicly disclose current, accurate financial information so that investors may make informed decisions. The revocation was ordered in an administrative proceeding before an administrative law judge. (Rel. 34-53559; File No. 3-11979) IN THE MATTER OF NETOPIA, INC. On March 29, the Commission issued an Order Instituting Cease-and- Desist Proceedings, Making Findings, and Imposing a Cease-and-Desist Order Pursuant to Section 21C of the Securities Exchange Act of 1934 (Order) against Netopia, an Emeryville, California corporation that provides broadband and wireless products and services. The Order finds that Netopia materially misstated its financial results for the third quarter of fiscal 2002 and for the fourth quarter of fiscal 2003. On two separate occasions, Netopia sales personnel entered into improper side agreements with a customer making the customer's payment obligation contingent on future events. As a result, Netopia reported significantly inflated revenue to the Commission and investors. The first such transaction allowed Netopia to report one of the largest software sales in the Company's history, while the second transaction allowed Netopia to falsely report its first profitable quarter since the quarter ended June 30, 2000. The Order further finds that even after Netopia's Chief Executive Officer and Chief Financial Officer learned information suggesting that revenue had been improperly recognized, the company failed to take appropriate action. In a July 6, 2004, press release, Netopia falsely stated that the 2003 deal was being written off because the customer had failed to pay, when in fact the customer had no obligation to pay and the revenue should never have been recorded in the first place. Based on the above, the Order directs Netopia to cease and desist from violations of the periodic reporting, internal controls and books and records provisions of the federal securities laws. Netopia consented to the issuance of the Order without admitting or denying the Order's findings. (Rel. 34-53566; AAE Rel. No. 2403; File No. 3-12249) IN THE MATTER OF GLOBAL CROWN CAPITAL, LLC, ET AL. On March 30, the Commission issued an Order Instituting Administrative and Cease-and-Desist Proceedings Pursuant to Sections 203(e), 203(f), and 203(k) of the Investment Advisers Act of 1940 and Sections 15(b)(4) and 15(b)(6) of the Securities Exchange Act of 1934 (Order) against the managers of a San Francisco hedge fund charging them with fraudulently concealing the fund's trading losses from investors. In an administrative proceeding instituted today, the Commission's Division of Enforcement (Division) alleges that the principals of Global Crown Capital, LLC, a securities broker and investment adviser, sent misleading account statements to investors in the Cogent Capital Management (Cogent) hedge fund that falsely inflated the fund's performance. In the Order, the Division alleges that within three months of Cogent's 2003 inception, the fund experienced trading losses of over 20%. According to the Order, rather than disclose the losses to investors, fund managers Rani T. Jarkas and Antoine K. Chaya, both of San Francisco, added an unfunded "reserve" of over $200,000 to Cogent's balance. Jarkas and Chaya provided investors with quarterly account statements that used this additional sum to calculate the investors' purported return on capital. Yet Jarkas and Chaya did not put any actual cash into the fund at that time. Nor did they disclose that the investment returns detailed in the account statements had been inflated by this unfunded "reserve" and did not reflect Cogent's actual investment performance. As a result, according to the Order, the account statements sent to investors understated the fund's actual trading losses by as much as 90%. The Division alleges in the Order that Global Crown and related entity J&C Global Securities Investments, LLC (J&C) willfully violated the antifraud provisions of the Investment Advisers Act of 1940, and that Jarkas and Chaya willfully aided and abetted and caused the violations. A hearing will be scheduled before an administrative law judge to determine whether the allegations in the Order are true, to provide Global Crown, J&C, Jarkas, and Chaya with an opportunity to dispute the allegations, and to determine what, if any, remedial actions are appropriate and in the public interest. The Order requires the administrative law judge to issue an initial decision no later than 300 days from the date of service of the Order, pursuant to Rule 360(a)(2) of the Commission's Rules of Practice. IA-2503; 34- 53569; File No. 3-12250) SEC CHARGES EXECUTIVES OF NORTHERN CALIFORNIA INTERNET EQUIPMENT COMPANY WITH IMPROPERLY INFLATING REVENUE On March 29, the Commission charged two former sales executives of Emeryville, California-based Netopia, Inc. with fraudulently boosting the company's revenue by entering into undisclosed side agreements allowing a customer to avoid paying for products. The Commission's complaint, filed in the Northern District of California, alleges that Netopia's former head of worldwide sales Thomas A. Skoulis (of Menlo Park, CA) and former head of software sales Peter M. Frankl (of Addison, TX) entered into two secret side deals in 2002 and 2003, each for approximately $750,000. Pursuant to the side deals, Netopia's customer, which had limited resources, would only have to pay Netopia if and when it successfully resold the software to an end-user. The Commission also filed, and simultaneously settled, charges against Chief Executive Officer Alan B. Lefkof (of Tiburon, CA) and former Chief Financial Officer William D. Baker (of Fremont, CA), alleging that the executives later learned of a side agreement yet failed to take timely corrective action. The complaint charges Skoulis, Frankl and Baker with securities fraud (Section 10(b) of the Securities Exchange Act of 1934 ("Exchange Act") and Rule 10b-5 thereunder; and Section 17(a) of the Securities Act of 1933 ("Securities Act") as to Baker alone), and also charges Lefkof with violating the antifraud provisions (Section 17(a)(2) and (3) of the Securities Act). The complaint also charges Skoulis, Frankl, Baker and Lefkof with causing Netopia to report false financial information to the Commission (Section 13(a) of the Exchange Act and the related Rules). The complaint additionally charges all of the defendants with causing Netopia's failure to maintain accurate books and records (Section 13(b)(2)(A) of the Exchange Act), and charges Lefkof and Baker with causing the company's failure to maintain adequate internal controls (Section 13(b)(2)(B) of the Exchange Act). The complaint also charges Skoulis, Frankl and Baker with circumventing internal accounting controls (Section 13(b)(5) of the Exchange Act) and charges Skoulis, Frankl, Baker and Lefkof with falsifying the company's books and records (Rule 13b2-1 under the Exchange Act). Baker, in the complaint, is further charged with lying to accountants (Rule 13b2-2 under the Exchange Act) and falsely certifying Netopia's financial statements (Rule 13a-14 under the Exchange Act). Simultaneously with the filing of the complaint, Baker and Lefkof have agreed to settle the charges, without admitting or denying the Commission's allegations. Among other things, they have consented to orders requiring them to pay civil penalties of $35,000 each, while Baker also has consented to the entry of an order barring him from serving as an officer or director of a public company for five years, and an order prohibiting him from practicing before the Commission as an accountant for five years under SEC Rule of Practice 102(e). From the remaining defendants in the litigation, Skoulis and Frankl, the Commission seeks disgorgement, civil monetary penalties, and injunctive relief, as well as an order barring Skoulis from serving as an officer or director of a public company.
